The In-House Counsel will provide legal management of real estate, leasing, construction, and banking matters related to company’s commercial portfolio. In this position, the incumbent will negotiate and draft contracts and agreements affecting the organization; will also be responsible for the execution of day-to-day legal affairs; and will be required to make decisions that affect functions system-wide.
Handles all real estate related legal issues, including transfers of titles and deeds, construction, mortgage concerns, zoning, and leases.
Provides legal advice to organization, prepares resolutions and forms, and participates in major legal actions.
Preparation, negotiation and revision of:
Lease agreements, amendments and guaranties, consistent with previously approved terms.
Pre-lease NDA’s and confidentiality agreements.
Brokerage commission agreements.
Estoppels, subordination, non-disturbance and adornment agreements.
Lease buyout and/or termination agreements.
Letters of intent, purchase agreements, declarations/restrictive covenants and all other pertinent real estate documentation.
Manage real estate disputes, including litigation.
Review and analysis of leases to assess landlord and tenant rights, remedies and/or obligations.
Facilitation of group discussions regarding a variety of complex legal issues.
Work collaboratively with the leasing team on a regular basis, providing coaching and knowledge sharing to enhance effectiveness of leasing team members.
Work closely with and advise business teams on business risks and risk mitigation strategies.
Manage and review reports and other due diligence materials related to potential title and environmental liabilities (e.g. title reports, CC&R, easements, phase 1 reports, etc.).
Resolve disputes with landlords, contractors, tenants and/or subtenants and work closely with Lease Administration and Asset Management.
Maintain familiarity with current and proposed laws and regulations and case guidance involving all legal matters.
Research specific legal issues and report results to Management.
Deliver timely and responsive legal services and reports.
Provide guidance on Human Resource issues, such as employment law, and other employment related agreements.
Target salary range for this position is $150,000 - $200,000 annually, depending upon experience. Performance Bonus potential exists but is not guaranteed. Please include your compensation expectations in your cover letter.
