The Business Transactions Group in Pfizer Legal is seeking a Corporate Counsel to provide advice and guidance on a wide variety of complex commercial real estate, workplace services and facilities management matters. The attorney in this position will draft, negotiate and advise clients regarding real estate and facilities-related procurement transactions and advise clients on the day-to-day issues surrounding the company’s footprint. In addition, the Corporate Counsel will be responsible for maintaining the Global Operations’ form agreements in keeping with market best practices and company policies. The Corporate Counsel will also contribute to broader, continuous improvement Legal Division initiatives.
The successful candidate will be skilled at applying their knowledge of real estate matters and tailoring it the specific needs of a global pharmaceutical company. They should feel comfortable working independently and handling multiple assignments at once. He or she will work closely with the rest of the Global Operations legal team and other members of the Legal Division, the corporate real estate team and the relevant site leads, in-house subject matter experts, such as EHS, Risk Management and Tax, outside counsel, and market brokers.
Negotiating purchase and sale agreements for commercial and research and development (R&D) sites, as well as manufacturing plants.
Negotiating leases and subleases for offices, R&D space, warehouses and manufacturing facilities, including any work letters. Drafting and reviewing lease extensions, terminations, and renewals.
Ability to represent the company from both the landlord and tenant side.
Advising site teams and the real estate group on landlord- tenant disputes.
Advising and negotiating licenses, easements and access agreements affecting the company’s property.
Collaborating with site teams and the real estate group to develop real estate strategies.
Managing the real estate portion of corporate transactions through the review of due diligence materials and revision of the relevant corporate agreements.
Reviewing SNDAs and estoppels.
Handling Global Operations’ procurement matters, including construction, design-build, integrated facilities management and brokerage agreements.
Serving as a resource for real estate-related questions from paralegals and non-real estate legal colleagues.
Counseling business unit colleagues on the applicable corporate policies and procedures.
Developing a thorough understanding of and familiarity with the company's business, people, facilities, customers, and competitors in order to identify trends and formulate strategies
Taking a thoughtful risk approach to matters for which you are responsible.
