As Commercial Counsel for a Grace business segment, this individual will be responsible for providing legal support to the worldwide business operations of that segment. This position will be based at Grace’s global headquarters in Columbia, Maryland. It will functionally report to Grace's Associate General Counsel and operationally will report to the President of the business segment.
Advise business segment management on a wide range of legal issues relating to their business operations, including large commercial agreements and transactions, and U.S. and international laws and regulations.
Draft and negotiate a wide variety of commercial contracts, including raw material purchase, product supply (customer), tolling, construction, confidentiality, distribution, and agency agreements.
Manage and resolve commercial claims and litigation, and retain and manage outside counsel in connection with litigation.
Provide advice and training to Grace managers and employees in connection with competition, anticorruption, import/export and other U.S. laws having extraterritorial effect.
Structure and negotiate joint ventures and other strategic transactions and alliances not handled by Grace transactional attorneys or outside counsel.
Consult with and frequently coordinate legal work with Grace Legal Services transaction, environmental, intellectual property, real estate and employment attorneys and other specialists including the Grace tax group and Grace Financial Services Group.
Coordinate with other in-house attorneys in various matters, including ethics training and reporting requirements, subsidiary company administration, and SEC disclosures.
Perform special projects and tasks, as required, relating to commercial and regulatory items and other matters.
Should have a strategic focus and an in-depth understanding of legal issues associated with the commercial operations of global business organizations.
Proven experience in drafting and negotiating commercial contracts, strategic counseling, and managing and resolving commercial disputes.
Should be comfortable in a true business partnering role, including participating as member of the business team, and giving risk-based advice taking into account the business goals, the economics of a transaction, and the legal considerations.
Though not required, experience with antitrust issues would be a plus.
Must be a graduate of a leading U.S. law school, be licensed to practice in at least one U.S. state or the District of Columbia (and eligible to practice as an in-house counsel in Maryland), and be in good standing in all jurisdictions where the candidate is licensed to practice law.
Should have between 8 to 12 years of experience, preferably with an international business in the chemicals or materials industries, or in another large international manufacturing organization. In-house legal experience is preferred.
