Anadarko seeks a Sr Counsel to join the Marketing organization located in The Woodlands, TX office. The position will work directly and extensively with the Marketing Commercial Team, as well as other in-house attorneys in the Anadarko Legal Department to identify and resolve legal and regulatory issues that are relevant to the full spectrum of Anadarko’s upstream, midstream and downstream business operations. Additionally, this role will engage directly with other functions, such as Credit, Risk Accounting, Scheduling, Tax, and Audit, in full support of the Company’s goals and directives.
The ideal candidate for this position should possess the following minimum qualifications:
A minimum of 15 years of gas, crude oil, condensate and natural gas liquids marketing legal experience with a law firm or corporate law department is highly preferred.
Ability to work confidently and independently while also effectively collaborating with others in order to be a team player.
Strong working knowledge and understanding of the Natural Gas Act, the Natural Gas Policy Act, the Energy Policy Act, the Interstate Commerce Act, the Commodity Exchange Act, and the Dodd-Frank Act, as well as the federal, state and local regulation and FERC, CFTC, FTC and SEC regulatory compliance requirements pertaining to the oil and gas industry, is essential.
Substantial legal experience with the drafting and negotiation of a variety of customized and industry standard agreements related to: the purchase and sale of commodities, pipeline transportation, rail transportation, terminaling, storage, trucking, barging, processing, fractionation and other agreements related to the marketing and trading of gas, crude oil, condensate and natural gas liquids.
Extensive understanding of downstream, upstream and midstream oil and gas industry business processes and transactions.
Strong negotiating, interpersonal and team-building skills, as well as mature judgment and discretion are crucial.
Collaborates with others under pressure to handle successfully multiple assignments in an efficient and productive manner.
A strong commitment to the highest level of personal integrity and professional/ethical standards is required, as well as the ability to provide commercially focused, pragmatic legal advice in order to accomplish the Company’s business objectives.
proficient in the use of the Microsoft Office suite of programs (Word, Excel, PowerPoint, Outlook).
Work directly and extensively with the team lead for Marketing Legal, as well as serve as a mentor to the other Sr Attorney comprising the Marketing Legal Team.
Possess a working knowledge of applicable laws, regulations and orders which impact the company’s marketing operations, such as but not limited to capacity release rules, FERC jurisdictional parameters, shipper’s rights, etc.
12 years or more of relevant legal experience is required.
Provide legal advice to the Commercial Team regarding Gas, NGL and Crude Oil marketing to assist with meeting business objectives while ensuring compliance by all laws and regulations of the federal, state and local governments.
Draft and negotiate industry master agreements (i.e. NAESBs, NAESB NGL, LEAP, etc.) for the marketing and trading of various commodities.
Draft and negotiate ancillary agreements related to the various commodities, including terminaling agreements, storage agreements, transportation agreements, precedent agreements, trucking and rail agreements, fractionation agreements, etc.
Draft and negotiate customized contracts, including but not limited to asset management agreements, dock agreements, and purchase and sale agreements.
Provide direction to management in the design, development and implementation of policies and procedures to respond to government initiatives for the purpose of proactively managing legal risk.
Provide legal advice and training regarding all aspects of commercial compliance and regulatory marketing and trading programs, processes and issues, including compliance with regulatory issues related to the CFTC, FERC and the FTC.
Negotiate and resolve claims (e.g. failure to perform, shortage, off-specification product) associated with marketing and trading operations, as well as providing support to Litigation in the resolution of disputes.
Provide legal support with respect to the Company’s acquisition and divesture activities, including the conduction of due diligence and the drafting and negotiating of contracts related to the same.
Provide advice on compliance and risk exposure under relevant laws and regulations including market manipulation rules, Dodd Frank, antitrust, corporate governance, etc.
Manage and prioritize assignments which may be broad in scope and complexity, and which involve collaborative work with employees in different departments and with varying levels of seniority.
Develop and execute comprehensive legal strategies and solutions to lawfully facilitate the Company’s marketing objectives while effectively mitigating any associated legal and commercial risks.
File appropriate pleadings/requests with, as well as representing the Company before, regulatory agencies and other external contacts.
Provide legal assistance with pre-transactional and transaction documents, such as confidentiality agreements, term sheets, letters of intent, etc.
Provide legal support to mitigate against credit risks via netting agreements, credit support annexes, and other ancillary agreements relating to the marketing and trading activities.
Participate in industry initiatives through various trade groups or roundtables.
Develop processes and policies in support of the Company’s marketing activities, including best practice notes and assisting with associated compliance policies.
Supervise external counsel as applicable.
Education LLM or JD required from an ABA accredited law school
Certifications/Licenses Licensed to practice in the United States is required. Texas is highly preferred.
Relocation This position may be eligible for relocation.
Travel Requirements Travel will be required up to 10%.
Work Schedule This position is eligible for the 5/40 or 9/80 work schedule.
