Uniquely Structured Captive Client/De Facto In-House Transactional Position
A long-standing specialty boutique has engaged G&S to assist it in identifying a transactional associate for its unique practice and firm structure. This progressive and innovative boutique has a long-standing (18 year) relationship with our firm, and in response to increased client demand, it has asked us to recruit a transactional attorney with 3+ years of experience in corporate finance, commercial lending, real estate development, fund formations and related corporate M&A and/or commercial agreement structuring and negotiating.
Anticipated projects include 60% financing transactions (e.g. structuring of new investment vehicles (mostly JV equity), new financings and re-financings, recapitalizations, construction lending, workouts, asset management for generally long-hold assets, etc.) and 40% general counsel (transaction-oriented) work, including support of general corporate work (e.g. preparation of contracts, engagement letters, licensing agreements, and corporate governance, including Investment Committee and Board of Directors related support), as well as periodic and episodic matters related to risk management, occasional litigation/claims management, compliance interface with the client, and other such specialized regulatory and other matters, generally with the firm’s attorneys engaging, supervising and working in close tandem with outside specialized counsel in those less common areas. Transactions are generally leanly staffed with two, sometimes three, attorneys, and a paralegal, giving associates the opportunity for significant responsibility and growth in close working proximity with the business team, with supervision and guidance from the firm’s partners, support from internal tax counsel, etc. Each deal is unique and staffed accordingly depending on size, complexity, nature and pace.
This firm has a 30 year relationship with its client, and their multiple affiliated entities. One of the affiliates is a registered investment advisor with approx. net AUM of $3.5B (approx. $5.3B gross) which makes equity and debt investments across the capital stack in complex commercial real estate projects (e.g. commercial and institutional real estate, including apartment buildings, commercial office buildings, hotels, data centers, large multi-year mixed-use projects, opportunistic raw or underutilized land, etc.). The second is a full-service development subsidiary, which focuses on complex mixed-use projects throughout the country. The boutique’s other clients in its affiliated universe of clients currently include multi-employer defined contribution pension funds, REITs, labor unions, and various related entities.
Our client is the lead financing and real estate general counsel and transactional counsel for this affiliated group of entities and works from an office located directly within its corporate client’s headquarters office in DC (which has approx. 45 employees; 15-20 employees of the clients are located in Philadelphia, Los Angeles, and elsewhere, however all legal work is conducted from the DC HQ). The firm is small and close-knit with 3 partners and currently 2 associates, though growth needs of the company call for at least 3 associates, supported by 2 paralegals and a highly capable office manager who has grown into that position from a legal secretary position over 15 years. All five attorneys were trained in big law and wanted to do something “different” and more akin to an in-house position, immersed in their client’s business, though still leading, structuring and working directly on complex, challenging, high-end deals at the highest level, for their careers. Also of note, the firm provides partnership growth potential (we placed one of the three named partners as an associate with the firm 13 years ago).
Additional Salary Information: Compensation is on the higher-end of in-house and includes a salary, bonus, 7% profit sharing contribution, and unparalleled benefits package (including full employer-paid health care coverage, among other very attractive benefits).
