Elite in-house legal department of industry leader has a newly created position to serve as the number two M&A attorney for the company. Portfolio includes strategic transactions from inception to execution as well as post-closing matters and general process management. You also will manage outside counsel’s contributions. Complementing the M&A work is strategic alliances, joint ventures, refinancings, credit facility amendments and other debt transactions. Among other duties are support (not primary) of quarterly board meetings, SEC compliance, executive compensation matters, governance, internal reorganizations and other corporate enterprise maintenance.
This position is being created from work currently allocated to the company’s most senior transactional attorney, JD year of 2000. The role requires the ability to run and close deals autonomously, train and develop mid-level associates and a successful track record of advising senior business executives on strategic options.
The transactions and corporate governance department within the OGC is close-knit, and takes a team approach to many of the matters under its portfolio. This Counsel will work closely with the company’s Corporate Development Team and will manage outside counsel on deals resulting from their activities. Our client values a strong understanding of finance as well as prior business background in accounting or finance and/or someone with an MBA/CPA.
