Corporate Counsel, Legal Affairs (4-6 years Transactional experience)
You will report to the Director, Legal Affairs, at the company headquarters in San Marcos, CA. Typical responsibilities include (i) reviewing, drafting, and analyzing agreements; (ii) preparation and filing of documents with the Bureau of Real Estate and other government agencies; (iii) maintaining corporate books and records and preparation of corporate governance documents; (iv) conducting due diligence in connection with the company’s acquisition of real estate and timeshare interests; (v) staying updated on relevant industry and consumer protection laws, and disseminating information to relevant team members quickly and effectively; and (vi) other duties as assigned. Some travel will be required.
You must have excellent judgment in balancing legal risks with business strategy and a proven ability to quickly learn new areas of law, and independently function in a demanding, fast-paced environment. We’re looking for a highly adaptable and collaborative person who can handle ambiguity and rapidly shifting priorities with flexibility, patience, poise, and a sense of humor. You must be a strong team player, service oriented, with a “can-do” attitude.
Qualifications and requirements:
JD from a top tier law school; MBA is a plus.
4-6 years’ experience in transactional work, including in drafting, reviewing, and analyzing agreements. Experience in the hospitality industry is a plus.
Experience with real estate transactions, real estate financing, and conducting due diligence for real estate acquisitions.
Outstanding oral and written communication skills, legal research skills and strong (practical) analytical skills. Must be able to distill complex matters into practical legal advice.
Must exercise strong judgment in balancing competing projects and sensitivity to competing demands faced by colleagues.
Advanced proficiency with Microsoft Word, Excel and PowerPoint.
California bar or admission as Registered In-House Counsel required.
