NAS currently has an exciting opportunity available for an experienced Attorney to join our management team in Tullahoma, TN.
Job Summary: The NAS Managing Counsel is responsible for providing legal advice and counsel to NAS on all matters affecting NAS activities for our 3 Geographically Separated Units (GSUs) in Tullahoma, TN; Mountain View, CA; and White Oak, MD. The work involves complex and varied issues, requiring a high order of original and creative analysis for their solution. The matters will often involve issues that are of critical importance to NAS and will require extensive input from various departments of the NAS organization to achieve appropriate resolution. The NAS Managing Counsel will independently and proactively identify organizational needs and addresses as appropriate. The NAS Managing Counsel will carry out assignments from the NAS General Manager; will make primary legal determinations in matters of substantial importance to NAS; will maintain contact with and receive direction from parent company corporate legal management; and will direct and review work of outside counsel and confer with risk management, and ethics and compliance staff on a routine basis.
Principle responsibilities include, but are not limited to:
Carries out assignments independently and makes final legal determinations in matters of substantial importance to NAS. Identifies issues and needs of NAS proactively and works collaboratively with NAS management to address and resolve needs. Counsel must interface with company management, provide support to the NAS Board of Managers, as needed, and will confer and negotiate with attorneys representing other companies and with the Government and the USAF. Counsel will receive little to no instruction on legal problems.
As NAS Managing Counsel, must be capable of handling legal matters including:
Providing advice and counsel to NAS management regarding employment law issues.
Providing advice and counsel to NAS management regarding employee benefit issues, including ERISA.
Reviewing and advising NAS management regarding government contracting and prime contract compliance issues.
Reviewing and advising NAS management in regard to subcontracting and procurement in the government contracting environment.
Providing advice and counsel to NAS management regarding Labor Relations and union matters.
Assisting in development and reviewing and advising NAS management in the development and application of company policies, procedures and business practices.
Advising in prevention, handling and settlement of law suits, charges and claims.
Serving as senior counsel and advisor to NAS General Manager on the full range of NAS activities and performing assignments as requested.
Advising on the legal aspects and implications on the full range of federal and state laws and regulations affecting the NAS organization.
It is a condition of employment to wear company issued PPE (Personal Protective Equipment) in accordance with supervisory direction and company policy.
Perform other related duties as required.
Basic Qualifications:
LL.B. or J.D. degree from accredited law school program plus 10+ years’ experience as an attorney representing a corporation, the U.S. Government, U.S. Government contractor, or other related corporate law experience.
Licensed to practice law in Tennessee, or the ability to become licensed within an acceptable period of time.
Working knowledge and understanding of the Federal Acquisition Regulation (FAR).
Experience working as counsel for a government contractor.
Working knowledge and understanding of the concepts of Risk Management.
Excellent oral and written communication skills.
Ability to maintain confidentiality at all times.
Keen attention to detail.
Preferred Qualifications:
Current license to practice law in the state of Tennessee.
Previous legal experience working with the USAF and/or Bechtel Corporation.
Additional education and/or experience in government contracting.
Experience working for a Limited Liability Company.
