Under direction of the Vice President, General Counsel & Secretary, serves as head of the legal department's commercial transactions globally. Drives strategy and ensures successful execution of legal services for all countries, geographies, and functional groups. Provides counsel for strategic issues and risk management 70% of the time.
Ensures excellence in legal services relating to commercial contracts, procurement, supply chain, corporate development, mergers & acquisitions (M&A) and related work are delivered through a team serving the company globally.
Builds and oversees the global commercial transactions team with country, geographic, functional and technical experts.
Responsible for implementing, driving and reporting results and efficiency metrics including budget and cost management.
Oversees development of organizational structures, best business practices, policies and processes (including training and communication) to optimize resource allocation based on company and business needs, efficiency and risk reduction including management of internal staff and external providers (outside counsel, legal process outsourcers and other vendors).
Ensures that all significant legal matters within area of responsibility are addressed effectively and efficiently and promptly escalated where appropriate.
Supervises, develops and manages all direct reports.
Actively serves as a leader, positive role model and teacher regarding legal counseling and business skills, and specified behaviors.
Oversees enterprise-wide initiatives that advance the corporation's legal function.
JD Degree; must be or become a member of a relevant licensing association.
Minimum of 15 years of relevant experience in progressive leadership roles within a large, multi-national legal function.
Previous experience proactively providing strategic counseling to senior management on significant and complex matters, along with demonstrated ability to build relationships and positively influence and creatively recommend outcomes.
Demonstrated experience successfully driving legal department strategies, goals and objectives including process improvements, resource efficiencies and change management in provision of legal services.
Substantial experience efficiently managing internal and external costs and reporting.
Substantial experience attracting and retaining talent globally including demonstrated ability to efficiently design organizational structures, including optimizing internal and external talent and resources.
Ability to make solid judgment calls under pressure.
Substantial experience in commercial contracts and transactions, procurement, supply chain, corporate development, mergers & acquisitions (M&A) and related work, including strategic approaches to the practices.
Varied exposure to other substantive legal practice areas typically encountered by large companies.
Excellent communication skills.
