As a key member of the small and dynamic Legal team, you are responsible for delivery of high-value legal advice and service to our internal teams on a variety of legal matters, with a broad span of control and influence. The individual in this position will foster impactful relationships with internal stakeholders (Commercial and Risk Underwriting, Sales, Compliance, Risk Management, Human Resources and Audit teams), as well as liaise with Coface Group headquarters, U.S. and Canadian regulatory agencies and outside counsel as needed. Reporting to the General Counsel, you will perform the following:
Advisory: Perform legal analysis of new and customized insurance policy wording, including the review of such wording for compliance with applicable state laws and regulations; perform legal analysis of new products and/or distribution channels; review and provide legal advice regarding internal operating procedures and policies; lead/participate to regulatory and general legal research related to the company and its activities and provide advice as required.
Contract management: Draft and negotiate legal and transactional documents relating to Coface North America’s business; review, analyze and negotiate contracts provided to Coface North America by its vendors and suppliers; provide legal expertise/support for commercial transactions.
Litigation management: Examine and follow-up on threatened litigation, and lawsuits pending before trial courts or arbitration panels under direction of General Counsel; supervise/ support outside litigation counsel (e.g. pleadings and other court filings, collection of evidence).
Monitoring and reporting: Keep General Counsel and management abreast of all new laws and regulations that may have implications for Coface North America and its business operations; perform internal reporting; Supply management with verbal or written reports on an ad hoc basis.
Risk management and Compliance: Collaborate with the internal Risk Management team and Compliance team, as required. Analyze and identify legal and regulatory risks arising from Coface North America’s operations and business transactions; provide counsel to the Risk Management team and Compliance Team regarding general legal requirements/regulatory compliance and best practices and strategies for managing legal and regulatory risks.
Labor and Employment: Provide advice to HR team regarding the management of labor and employment related matters.
Juris Doctorate degree from an accredited university
Minimum 7 years’ experience required, preferably with at least 3 years as internal counsel at an insurance company, bank and/or other financial institution
Working knowledge of corporate law, as well as business law knowledge within a financial context
Insurance and litigation experience is required
Experience in trade credit insurance, factoring or accounts receivable management business is a plus
International corporate environment: previous experience in a matrixed, dynamic organization
Practical knowledge and experience acting as employment law advisor
Ability to act both collaboratively, as well as independently
Practical knowledge of Microsoft office applications and Lexis Nexis
