Our client, a dynamic multi-billion technology driven company, is seeking an experienced corporate attorney to serve as their US General Counsel. This role with be responsible for legal aspects of Dodd Frank, Sarbanes-Oxley, SEC and NYSE compliance, including public disclosure and financial reporting, and ensure positive external corporate governance profile while preserving flexibility regarding future Board action. They will also be responsible for oversight/preparation of agendas and materials and minutes for Board and Committee meetings. In addition, the role will manage domestic M&A as well as the legal teams US based commercial contracts group.
Candidates must have the following qualifications or will not be considered:
-Fifteen to twenty years experience in the areas of public reporting, securities transactions, and debt offerings and credit facilities, preferably with a public company or with a law firm representing public companies (in either case, experience as a direct interface with principal functional leaders is strongly preferred).
-A strong academic record from top schools
-Executive presence - a positive, professional and collaborative style that inspires confidence and trust among clients and colleagues;
-The ability to analyze issues and work through ambiguity, using strong communication (oral and written) and problem solving skills;
-Excellent judgment and the awareness and ability to involve others that may possess the information needed to address issues;
-Strong business acumen and the willingness to develop an understanding of the Company's businesses and the key objectives of each area within the role's scope of responsibilities
