Job Overview The Transactional Attorney will draft and advise on a variety of contracts across the business, including M&A transactions, employment agreements, real estate and lease agreements, and other related transactional documents. To be successful in this role, you must have experience drafting and negotiating complex agreements and advising clients on such matters. This is a full-time position. Job Duties:
Independently manage, including draft and negotiate, a wide range of transactional documents including asset purchase agreements, letters of intent, commercial leases and other related business agreements
Frequent client interaction, responsible for client matters, must be pragmatic and solutions-oriented
Counsel and advise clients, including provide strategic legal advice on complex and novel issues and provide guidance on existing agreements
Manage and coordinate outside counsel when necessary
Ability to manage multiple transactions, take on new responsibilities and handle novel issues is critical
Will be expected to provide insight on other matters including commercial contracts, regulatory compliance and employment matters
General Requirements and Competencies:
JD with admission to at least one state bar (NJ, NY or PA)
At least 4-7+ years of law firm or in-house legal department experience focused on transactional work and related regulatory, disclosure and compliance advice
Strong drafting and revision skills on paperless platform
Demonstrates high level of business acumen
Excellent technology skills, including working with Microsoft Office Suite
Ability to work effectively both in teams and independently, manage multiple projects, make effective decisions and collaborate with clents
Ability to work in a fast-paced environment with minimal supervision
Excellent analytical, verbal and written communication skills
Practical lawyering sense, including the ability to balance risk considerations and commercial needs
Highly organized, efficient, ability to prioritize workload and multi-task
Soild project management skills
Ability to interact and communicate effectively with all levels of staff, including senior management
