Privately-held, technology services firm located in New Jersey is seeking a Staff Attorney to join its team. This attorney will help deal with the day-to-day legal issues of the organization. This includes providing advice on legal matters, performing pre-litigation analysis, conducting research and legal proceedings. This attorney will work on all immigration matters, contract drafting/review, negotiations, enforcing corporate controls and procedures, corporate governance, compliance, M&A, disputes, litigations, corporate and transactional matters, and regulatory and compliance matters. The attorney will work closely with executive management and will provide practice, business-minded legal counsel and support to management and leadership across all business segments. This attorney will report to the Senior Associate General Counsel.
Adopts a comprehensive understanding of the company's business, policies and procedures with close attention to interactions with management, workflows, current contract negotiation practices with clients, customers and vendors, and assists in the development of new policies and procedures;
Assists in ongoing immigration projects and issues, including preparation, review, and filing of H1B Visas, I-140 petitions, L and B Visas, and employment based Green Card processing;
Assist with all RFEs including, but not limited to, H1b, H4, and EADs;
Assists with a variety of corporate matters including organizational documents, company structure, and management of corporate entities;
Assists in ongoing support of contract management process, including contract drafting, review, and negotiation, with respect to management agreements, leases, consulting agreements, joint venture agreements, vendor contracts, license agreements, service agreements, purchase orders, maintenance contracts, etc;
Assists with compliance –related processes and procedures to support the company’s compliance environment;
Assist in preparation and implementation of staff trainings with respect to corporate compliance, values and conduct, HR, and other matters;
Collaborate and work with other departments, management, and senior leadership to address and resolve complex legal matters;
Conduct research on legal matters impacting the Company, including state and federal statutes and regulations;
Contributes to developing and maintaining Legal Team intellectual property, including template forms and other materials;
Provides management and business partners with day to day legal perspective and guidance, as well as risk assessment and mitigation;
Provides support to the General Counsel and other attorneys on various matters as needed;
Reviews RFP’s from prospective customers and provides legal analysis, risk assessments and disclosures;
Serves as legal advisor and active participant in establishing cross-border partnerships and facilitating transactions, including due diligence, negotiation and preparation of term sheets and definitive agreements;
Miscellaneous legal projects as needed
JD (barred in at least one U.S. state) with at least 3-5+ years of law firm and/or in-house experience required;
Proven experience in the international, in-house, IT services sector is preferred;
Strong commercial contracts experience;
Knowledge of immigration law is a plus;
Strong customer service skills with ability to foster and convey trust, ensure high level of professionalism;
Exceptional ability to prioritize, organize, multitask, problem solve and work under deadlines;
Ability to work both independently and collaboratively;
Strong communication, legal research and writing skills;
Proven understanding of relevant area(s) of law and an ability to consistently analyze and respond to legal and regulatory issues in a highly responsive manner.
