The Healthcare Attorney serves as the primary legal counsel negotiating and advising on major contracts and transactions, including acquisitions, mergers, and business and employment agreements, focusing on regulatory compliance to pragmatically manage legal risks and be astute to alternative solutions to minimize liability exposure while achieving business goals.
Providing overall leadership and management of corporate and commercial legal matters, including those listed above; facilitating strategically important corporate initiatives such as acquisitions or strategic alliances and advising management with respect to the transactions and negotiations.
Working directly with the corporate executive team to understand strategic initiatives and business needs, providing legal and business counsel, and establishing and influencing appropriate ethical standards and legal considerations which must be taken into account when decisions are made.
Advising the company on the risks of possible business decisions, providing preventive counseling with respect to the legal risks associated with business practices, and developing strategy in response to civil litigation and regulatory inquiries (including negotiating settlement agreements where appropriate), and cost-effectively managing the resources required to address those matters.
Negotiating, drafting and implementing a wide variety of complex, multi-party agreements, including mergers and acquisitions, strategic alliances and joint ventures, and clinician/prescriber affiliation agreements.
Structure and negotiate business relationships, transactions, and overseeing a wide variety of strategic alliances and business development activities.
Research and analyze laws, rules and regulations that impact LifeStance's business and help LifeStance to implement those laws, rules and regulations. May include development and review of policies and provide training and education to appropriate staff.
Review and assist with updating best demonstrated practices and execution of process improvements to better align and anticipate changing healthcare laws and regulations.
Establish a rapport and working relationship with business managers in order to encourage and continue the proactive use of in-house legal counsel.
Evaluate and furnish legal strategic advice and participate in strategic development through attendance at appropriate management meetings.
Education / Accreditation / Licensure (required & preferred): J.D. or L.L.B. awarded by an ABA accredited law school.
Experience (required and preferred): License to practice in one or more states including admission to practice law in Washington state.
Minimum of 3-4 years' experience as legal counsel in the healthcare industry relating to clinical legal issues either in private legal practice or as an in-house counsel to a clinical health system. Relevant experience should include a broad range of healthcare transactional and regulatory matters, including, but not limited to, clinic/physician arrangements, mergers/acquisitions and provider reimbursement issues.
