We are working with an outstanding Company – Fortune 500 that has a need for a corporate attorney. It’s already a high level position within the organization and has the possibility of an upward promotion if warranted based on performance. The preference is for local candidates or candidates that have very good reason to be in Florida.
The preferred background is corporate securities, corporate governance and finance experience. The attorney will be expected to:
Serving as a member of the General Counsel’s direct reporting team and managing the legal aspects of the Company’s SEC reporting requirements;
Overseeing SEC and filings including annual and quarterly reports, proxy statements, registration statements, 8-Ks, Section 16 and other related filings and compliance with NYSE listing rules.
Participation in the quarterly earnings release process.
Provide advice on corporate governance and Board matters, including preparing for Board and Board Committee meetings and updates to charters, governance principles and related policies;
Supporting the Company’s Treasury function, with a focus on financing transactions and derivatives;
Work closely with the General Counsel on M&A and other strategic transactions;
Oversee management of the Company’s subsidiaries and joint venture arrangements;
Drafting and negotiating a wide variety of contracts and other documents in connection with complex transactions
Interacting daily with Accounting, Tax, Treasury and Investor Relations.
JD from a top tier U.S. Law School
10+ years of corporate transactional experience gained at a top US or Multinational law firm
The Company prefers an attorney who has had prior in-house experience.
