This position is based in midtown Manhattan, will report to the Sr. Vice President, General Counsel & Secretary of Steel Partners, and will involve direct interaction with personnel at all levels of the organization. The successful candidate will work on a broad range of challenging and sophisticated legal matters, and will have a high degree of responsibility.
Assist with legal efforts on standard contract issues, including structuring and negotiating a broad range of contracts, licenses and transactions, drafting agreements, and overseeing the maintenance and administration of contracts;
Assist on labor and employment matters: prepare legal documents, including employment and severance agreements, and supervise and assist outside counsel on employment-related litigation and administrative actions;
With the Chief Compliance Officer, spearhead improvement in the Governance, Risk Management and Compliance (GRC) program: draft, implement and communicate corporate standards, policies and procedures; create and deliver ethics and compliance training and communications strategies; interface with regulatory agencies in confidential investigations; maintain currency with legal and regulatory requirements;
Contribute to a broad range of M&A/divestiture/strategic alliance matters, including due diligence and drafting of transactional documents;
Assist with SEC compliance and reporting, and advise regarding securities law issues;
Assist in managing outside counsel with respect to litigation and arbitration;
Responsible for corporate maintenance issues, including assisting with corporate governance, entity formation and dissolution, consents, minutes, stock ledgers, etc. on a proactive and relatively independent basis, working alongside the General Counsel; and
Overall, assist the General Counsel in a fast-paced in-house corporate legal environment.
Juris doctor degree from a top accredited law school combined with a distinguished law school record;
Admission to New York Bar (or eligibility for licensing in New York as In-House Counsel) (no relo will be provided);
At least 4 years of relevant legal practice at a national law firm and/or with a publicly-traded company in a responsible generalist position (a combination of large law firm and in-house experience preferred);
The ability to confidently interact with colleagues and adversaries and to translate difficult legal principles into practical business solutions;
Excellent analytical, problem-solving, negotiation, drafting and communication skills;
Energetic, decisive, hard-working, hands-on personality with strong interpersonal skills and the ability to gain respect and influence others;
Quick learner with a high degree of common sense and resourcefulness, and the ability to work independently and prioritize multiple tasks;
Highest levels of integrity, discretion and maturity;
