We are looking for a bright, proactive, business-minded and self-motivated attorney with 6-8 years of general corporate, debt, equity and securities law experience gained at a leading New York law firm; general commercial contracts experience a strong plus. In this position, the successful candidate will interface with our finance, engineering and other business teams on all transactions of the business, as well as compliance with debt and corporate obligations, and other commercial contracts. This position will report directly to the General Counsel.
DESCRIPTION AND DUTIES:
This position’s principal responsibilities and duties will include the following:
Leading or assisting the Legal team’s efforts on all corporate or strategic transactions, including debt financings, acquisitions, dispositions, joint ventures, financings, intercompany relationships, complex commercial agreements and other corporate activities, including the management of all transaction-related due diligence processes.
Drafting and negotiating a variety of operational agreements, including equipment leases and services, contractor, vendor and technology agreements.
Providing advice and counsel to the business team leaders on all legal matters affecting your areas of coverage, in consultation with other members of the Legal team and outside counsel, as necessary.
Managing the legal aspects of the Company’s employee equity programs.
Building close relationships with personnel at supported businesses and maintain a strong knowledge of the products and businesses of these operations.
Managing outside counsel in your areas of coverage.
Conducting periodic employee trainings on relevant matters.
Engaging in or leading various other Legal projects and duties, including compliance policies and procedures.
Providing substantive support for the rest of the Legal team on an as-needed basis, including in respect of the business’s international expansion.
QUALIFICATIONS AND SKILLS:
Education and Experience
D. from a top law school with exceptional academic credentials and at least 3 years at a leading New York law firm.
Must be admitted, active and in good standing with the New York State bar.
Securities law and/or M&A experience required. Extensive experience in debt financing a significant plus.

Be able to operate autonomously while being a team player who brings a positive, “can do” attitude to the workplace and works collaboratively with other members of the Legal team and with clients.
Be able to simultaneously manage workloads, multiple client demands and shifting priorities within a fast-paced, rapidly evolving environment.
Have a strong desire to learn the business and function integrally as part of an interdisciplinary team.
Be collegial, hard-working, confident, a self-starter and have a passion for results.
