Multinational, biopharmaceutical company focused on the commercialization and development of therapeutics to improve cardiovascular health is seeking a Senior Corporate Counsel to join its team. The position reports to the EVP, General Counsel and is located in Northern New Jersey.
The Senior Corporate Counsel will become an integral part of a small and highly accomplished law department in a dynamic company positioned for significant future growth. The attorney must be comfortable working as a self-starter with a number of in-house clients. The attorney should have core competencies of experience with the requirements of publicly held companies, particularly in the life science industry, and a critical mass of other legal disciplines detailed below. The attorney will have a desire to pitch in where needed and to expand their skill set into legal matters as diverse as pharmaceutical industry compliance, litigation, contract negotiation, corporate record housekeeping and business development.
Manages a variety of legal issues that may include SEC reporting, litigation, compliance matters, subsidiary management, employment law matters, and preparation and review of agreements applicable in the life science industry;
Oversees maintenance of corporate records for a variety of subsidiaries and other aspects of the corporate secretary function;
Provides support for legal review of industry compliant promotional materials and activities, grants and medical education activities;
Ensures compliance with company policies and legal/regulatory requirements;
Coordinates legal matters handled by outside counsel;
Other duties and responsibilities as assigned.
JD and bar admittance in New Jersey (or eligibility for limited in-house license) with at least 5+ years related legal experience;
An employment record demonstrating a high degree of a detail orientation and a record of successful achievements and positive reference checks (when appropriate);
Experience with the business needs of publicly-held emerging or commercial stage life sciences companies;
Significant applicable experience with a large law firm a plus;
Ability to identify problems and work to implement solutions independently;
Experience with laws and regulations specific to publicly-held companies (SEC reporting) and at least an interest in developing expertise in the laws and regulations applicable to the life science industry (FDA’s regulatory regime);
Experience in general corporate matters, corporate record keeping and secretarial functions such as minute preparation, employment law matters and risk management;
Experience in negotiating and drafting agreements involving complex corporate, regulatory, intellectual property, tax and other issues;
Ability to exercise good judgment regarding the interpretation of policies, development of procedures, and selection of appropriate courses of action;
Excellent communication and interpersonal skills;
Ability to work well in a team, pitch in and assist others as needed.
