We are seeking an experienced advertising, marketing and commercial contracts legal counsel. Qualified candidates should demonstrate at least five years of direct experience working with public companies, both in-house and through external firms. The successful candidate will possess corporate and securities law as well as transactional experience, a team-first attitude, and a high standard of ethics and professionalism. The position will report to the Chief Legal Officer.
Provide legal counsel on:
advertising and marketing strategies, and communications (digital, mobile, affiliate, email, direct mail, telemarketing, print and mass media), including FTC, CFPB, TSR, TCPA, CAN-SPAM and other regulations, UDAAP, DMA and other best practices, substantiation, billing methods and rules, rights of publicity, and other issues
e-commerce matters, including digital marketing, user generated content, co-branding, affiliate and white label relationships, consumer privacy, DMCA, fraud, website terms and conditions, and social media
privacy and information security, including privacy policies, privacy best practices, consumer information, online tracking security, behavioral advertising, and data transfers
Lead the negotiation and drafting of a variety of advertising, marketing and distribution agreements, including supplier, content, licensing, vendor, insertion order, payment solution, agency, white label and co-branded partnerships, marketing and distribution arrangements, and sponsorships
Review and provide legal clearance for new products and services in areas such as consumer privacy and identity management
Oversee trademark, copyright and domain name matters, including management of outside counsel
Develop and provide training on current legal trends, best practices and regulatory environmental areas
Draft and review SEC filings, including Forms 10-K, 10-Q, and 8-K
Five or more years of relevant legal experience in advertising, marketing and related transactions, preferably with a combination of major law firm and in-house roles
J.D. with ability to practice law as a corporate counsel in Virginia
Experience drafting and negotiating commercial and consumer agreements
Ability to reliably advise on issues and questions relating to advertising, marketing, procurement, and general strategy
Excellent communication skills with the ability to engage and obtain support from stakeholders at various levels and roles throughout the company
Detail-oriented with the ability to prioritize tasks and manage various projects in a fast-paced environment
