The Corporate Counsel role will work on corporate, corporate governance, board and board secretary related matters, as well as other projects as assigned, for a dynamic group of public companies. This position will be based out of our Cincinnati, OH headquarters office located near the junction of I-71/I-275.
Essential Duties and Responsibilities:
Work on preparation of board and committee materials, and the distribution of board materials through board portal.
Work on corporate governance processes, policies and procedures.
Work on corporate matters, including entity formation and operation, primarily for domestic corporations and limited liability companies.
Work on SEC matters and filings.
Work on other special projects, as directed.
Education / Experience:
JD Degree; License to practice law in Ohio or qualified for corporate counsel status.
2-3+ years of experience primarily as a corporate lawyer, working on formation and operation of corporations and limited liability companies.
Familiarity with corporate law, SEC rules and regulations, as well as with corporate governance matters including knowledge of SOX and Dodd-Frank.
Proficient in Microsoft Office Suite, including Excel. High level of knowledge on use of computers and software. Knowledge of board portal software and entity maintenance software helpful.
Strong interpersonal skills with the aptitude to interact with executive officers and board members.
Self-starter with good problem solving skills and client service orientation.
Must possess strong writing and analytical skills to independently review, draft and prepare documents, with good organizational and project management skills.
