G&S has been engaged by a prestigious, multi-national professional services firm to assist in its search for a mid-level transactional attorney. The firm’s commercial group is responsible for handling master service agreements, engagement letters, statements of work, non-disclosure agreements and other associated matters, as well as coordinating with business teams, internal subject matter experts and risk management. Contracts cut across various industry sectors (financial services, healthcare, government, utilities, technology, automotive, merchants, etc.) and are a mix of commercial and multilateral agreements. Counsel also provide support for M&A transactions and supervise contract specialists in the contract review process. Note: This is not template driven work--no two agreements are the same, and they require tailoring to the specific situation. Thus, our client seeks someone who is intellectually curious, agile, can think creatively and is excited by complexities.
Requirements: Training as an associate in mergers & acquisitions, corporate finance or project finance transactions in an AmLaw top 100 firm setting; an understanding of commercial terms and experience drafting and negotiating complex agreements (ideally with heavily regulated entities); the ability to balance legal risks and business opportunities; executive presentation skills; and the ability to advise and influence senior business leaders and other stakeholders. The ideal applicant will possess 4-6 years of large law firm training.
