Bliss Lawyers is seeking an executive compensation attorney to work in the Pittsburgh office of a global financial services company. The ideal candidate will have at least seven years of experience in executive compensation and disclosure matters.
Responsibilities include: Coordinate and advise on regulatory requirements for equity grants and equity plan implementation; responsible for SEC filings (Section 16) and internal requirements related to transactions in company stock by current and former executive officers and directors; provide documentation support for HR-related Board presentations; provide advice to HR department and stock transfer agent on executive compensation matters; negotiate agreements with service providers for compensation programs; design/draft LTIP and deferred cash award agreements and related disclosures; design/draft cash bonus plan terms and conditions and award agreements; provide day-to-day advice on equity and cash bonus plan administration matters; provide advice on Proxy Statement executive compensation-related disclosures (including CD&A, benefit plan, beneficial ownership and equity disclosures); and coordinate distribution of Proxy Statement and Annual Report to shareholders of record.
This is a full-time, temporary position that has the possibility to convert to a permanent position for the right candidate.
