Job Summary: We’re looking for an intelligent, confident, organized and thoughtful individual who will oversee various legal matters for Columbia Utilities and serve as an advisor to senior management.
Manage External Counsel Relationships
Strategically identify instances for which external counsel and expertise are needed to support legal matters
Vet and make recommendation for external counsel
Manage the scope and fees associated with external work
Negotiate and draft a variety of agreements: including confidentiality agreements, marketing agreements, vendor contracts, and financing agreements
Manage all contracts
Corporate Governance & Policies
Oversee corporate governance and compliance (board minutes, resolutions, formation documents, federal, state and city filings)
Advice and counsel on corporate policies and procedures to ensure compliance with data privacy and records retention requirements.
Advice and counsel on general employment law issues
Advice and counsel on employee policies, including the employee handbook, PTO, and parental leave
Maintain compliance with all wage/hour and labor issues
Employee relations issues, including EEOC, Department of Human Rights and other agencies
Liaise with outside counsel and manage case docket
Review and assist in the preparation and management of litigation; pleadings and discovery
Assist in developing litigation strategy and/or settlement
Develop and maintain a trademark, copyright and domain name portfolio (applications, renewals)
Provide general advice on trademark issues
5 years of experience practicing law Extensive experience in corporate transactions Relevant Knowledge, Skills & Ability
