The corporate legal team is based in Cedar Rapids, Iowa, where the Company is headquartered. The position reports to Joshua Mullin, Assistant General Counsel, M&A and Corporate, who previously was Assistant General Counsel, Executive Compensation and Benefits. The hired candidate will be one of two attorneys working on compensation and benefits matters. Fran Lafleur, who was hired in 2016, currently serves as the Company’s primary attorney for compensation and benefits matters. An additional lawyer is needed to handle the increased workload that will follow upon the completion of the planned acquisition of B/E Aerospace by the Company. The selected candidate will focus more of his or her time on compensation matters. However, given the cyclical nature of the work, the candidate will be expected to assist with benefits matters.
TITLE: Principal Compensation & Benefits Counsel
Roles & Responsibilities
Serving as counsel for all legal issues emanating from HR disciplines involving Total Rewards, Global Compensation, and to a lesser extent benefits
Managing legal aspects of all compensation and benefits-related matters globally, but with a focus on compensation matters
Advising the Company’s Global Compensation team and senior management regarding the continued expansion of our business outside of the U.S., including oversight of international equity grants and the implementation of cash bonus and sales incentive plans
Advising on executive compensation, including Section 162(m), 409A, Item 402 of Reg S-K and related disclosures such as 8-Ks and the CD&A section of the Company’s proxy statement
Advising on the legal aspects of the Company’s compensation and benefit plans, including both qualified and non-qualified plans
Providing legal strategy, defending, resolving, and/or managing outside counsel representing the Company in litigation claims and investigations involving benefits and compensation issues
Advising on compensation and benefit aspects of mergers, acquisitions and divestitures
Reviewing, drafting and negotiating agreements with compensation and benefits service providers
Reviewing and drafting amendments to various short and long-term incentive documents, e.g., agreements, prospectus, plan documents etc.
Developing and implementing strategies, policies, procedures, and training for promoting compliance with compensation and benefits laws and regulations, including those related to compensation, leaves of absence, health and welfare, and retirement plans
Staying abreast of and providing general advice on legislative and regulatory developments
Closely coordinating with HR, Treasury, External Financial Reporting and other members of the Company’s legal department
Managing and coordinating outside counsel to obtain the desired results in a timely and cost efficient manner
Performing other legal duties as appropriate
Engaging in Rockwell Collins Lean initiatives
Have a J.D. from an ABA accredited law school, and be a member in good standing of the Bar of at least one state, with eligibility for admission to practice in Iowa or as House Counsel under Iowa Supreme Court Rule 31.16
Have at least 6 years of relevant experience
Ideally have experience as in-house counsel for a global company
Be a self-starter, able to handle many complex legal matters simultaneously
Have sound judgment and risk awareness across multiple substantive areas of the law
Have refined risk assessment skills, with strong, pragmatic business acumen and the ability to recognize the business consequences of legal advice
Have excellent interpersonal/people skills (including the ability to influence and build relationships without the benefit of direct authority) and the ability to interact effectively at all levels of the organization
Possess judgment and self-confidence, but also respect for others, regardless of position, and a desire to work as a team member with all levels of management
Excellent written and verbal communication skills, including the ability to translate complex legal issues into layperson’s terms
Be guided by unwavering integrity, and a strong ethical center
Be willing to travel (although this position is expected to have little travel)
