Job Description: Working in close collaboration with senior members of the Building Technologies & Solutions (BT&S) Global Products legal team, the Senior Technology Counsel, BT&S Global Products will act as a key legal business partner for the BT&S six global product businesses. The BT&S Global Products businesses are global leaders in the development, manufacture and sale of wide range of building technologies and solutions, including air systems, refrigeration, HVAC controls and equipment, building management, fire safety and security. These businesses report directly to the President of Global Products, Building Technologies & Solutions and are measured and responsible for market-share gains, profitable growth, a competitive product portfolio for the global markets, return on invested capital and overall product quality and delivery.
Primary Duties: Act as a member of the legal team for the BT&S Global Products businesses, assisting in the development and execution of strategies and tactics that enable the businesses to achieve their objectives, and supporting licensing, complex commercial and other strategic transactions in furtherance of those objectives. In order to do this, the successful candidate must be able to proactively identify and mitigate risks to the business, with a focus on technology and intellectual property. The Senior Technology Counsel must have a broad background that will enable them to serve as a subject matter expert and lead legal support on matters of software and technology licensing, complex commercial transactions and other matters of strategic importance, as well as providing general business, manufacturing and anti-competition advice. They will also be responsible for training and guiding clients in complex issues typical for innovative, growth-oriented, multinational technology companies, such as licensing, open source software, compliance and competition laws, as well as coordinating with intellectual property counsel on a range of matters, including inbound and outbound software licensing, open source software and patent issues. The Senior Technology Counsel will work directly with lead counsel for each of the BT&S Global Products businesses, regional center of excellence legal teams and outside counsel to ensure cost-effective support of technology transactions and other matters of strategic importance to the BT&S Global Products businesses. Domestic and international travel will be required to support the BT&S Global Products businesses.
A successful business partner is a forward-looking lawyer, with a deep understanding of the businesses they support. They must have demonstrated capability for innovative thinking, working independently and proactively, and challenging the status quo. They must have the credibility to function as a trusted member of the business leaders they support. In addition, a business partner must display an unquenchable curiosity and be able to make connections and draw conclusions from incomplete information. For this position, the qualified candidate will have a demonstrated interest in technology products (hardware and software), and in helping businesses be successful in achieving their business plans. They must have a J.D. degree with a minimum of 10 years of relevant law firm and in-house experience, preferably with software or technology companies with international operations, including expertise in technology, product development agreements, software or other intellectual property licensing and other complex commercial transactions. Experience with mobile applications, cloud computing, open source software, Internet-of-Things offerings, data ownership and privacy are also important, as is familiarity with M&A transactions. The successful candidate must be a disciplined legal drafter/writer and possess a problem-solving, “can do” orientation with a demonstrated ability to simplify complex situations. Experience selecting and managing outside counsel on international basis is a plus. Must be fully licensed to practice law within the United States and able to practice in-house in Wisconsin or Massachusetts. Ability to influence without authority and to work within a matrixed legal team are key attributes. Ability to develop and sustain relationships with management at all levels across geographies and customer management skills are required.
