This new position will be based in Winston-Salem, North Carolina, where the legal and business leadership of the Company’s new Cabin Interiors unity will be located following the planned acquisition by Rockwell Collins of B/E Aerospace.
The position will report directly to Damon Terrill, Assistant General Counsel. He is based in the company’s headquarters office in Cedar Rapids, Iowa.
The Pr. Corporate Counsel, International Compliance, will be responsible for:
Anti-Bribery and Anti-Corruption (ABC) subject matter areas.
Provides guidance and counsel regarding Foreign Corrupt Practices Act and international anti-bribery/anti- corruption laws and regulations matters in coordination with senior counsel and corporate legal team.
Reviews and approves appointment of high risk third parties, such as sales representatives, distributors and consultant.
Responsible for conducting internal investigations in coordination with senior counsel and corporate legal team.
Manages company response to government or external document production and subpoenas related to ABC matters in coordination with senior counsel and corporate legal team.
Design, Implementation and Oversight of an ABC Compliance Program.
Responsible for designing, implementing and managing the anti-bribery and corruption compliance program on behalf of B/E Aerospace.
Responsible for identification of resources required to implement and sustain the ABC program. This includes identification of staffing needs, diligence tools and vendors, preparation of cost models.
Provides guidance and counsel regarding data privacy and personal data protection regulations to U.S. and international operating business teams.
Design and Implementation of a Data Privacy Compliance Framework
In coordination with operating unit stakeholders and corporate legal staff, design and implement a data privacy compliance program.
Conduct risk assessments of operating practices, coordinate with business teams to identify gaps and implement mitigation strategies.
Primary oversight of data privacy legal and compliance subject matter within the operating unit.
In addition to the subject matter expertise described above, this position will:
Manage outside counsel representing the Company so that the desired results are obtained in a timely and highly cost effective manner.
Provide proactive legal support for the development, negotiation and execution of Company business strategies as these relate to subject matter area responsibilities.
Actively support merger and acquisition due diligence activities.
Proactively assist in the prevention of violation of laws and regulations that could damage the Company’s reputation as a law abiding and ethical company, through legal compliance training and counseling, or otherwise.
Investigate, with the assistance of outside counsel, potential violations of law or of the Company’s Standards of Business Conduct and, as necessary, review mandatory or voluntary disclosures thereof to responsible governmental or other authorities, and take other appropriate actions, as necessary, to resolve such matters.
Actively monitor changes in applicable laws and regulations and assure the Company’s compliance with them.
Closely coordinate with the Assistant General Counsel and with the Director, Corporate Counsel, International Compliance and Chief Privacy Officer on all significant legal matters in the subject matter areas, and ensure that they are kept abreast of the status of legal and compliance matters.
Actively engage in Rockwell Collins’ Law Department and enterprise Lean initiatives, as necessary.
Additional Preferred Responsibilities
Have a law degree from an ABA accredited law school, and be a member in good standing of the Bar of at least one state, with eligibility for admission to practice in North Carolina.
Have approximately 6 – 10+ years of law firm, U.S. government and/or corporate experience handling a broad array of regulatory, commercial, and/or compliance-related legal issues.
Be a self-starter able to handle many complex legal matters simultaneously.
Have sound judgment and risk awareness across multiple substantive areas of the law.
Have refined risk assessment skills, with strong pragmatic business acumen and the ability to recognize the business consequences of legal advice.
Have excellent interpersonal/people skills (including the ability to influence and build relationships without the benefit of direct authority) and the ability to interact effectively at all levels of an organization.
Possess a coachable attitude and be able to fluidly navigate in an environment in which he or she may have much or little oversight. Not only be comfortable with – but also should desire (and thrive in) – an environment in which there is no “playbook,” with a broad and ever-changing playing field.
Possess gravitas, judgment and self-confidence, but also respect for others, regardless of position, and desire to work as a team member with all levels of management.
Possess keen intellect, excellent communication skills and credibility so as to interact effectively and influence management at all levels.
Have the ability to actively, effectively and efficiently manage outside counsel; controlling and providing direction on the strategies to be implemented on legal matters which need outside counsel support.
Be willing to travel.
