Parker + Lynch’s client is seeking a Senior Counsel to fill a key role in its Northern Virginia office. The company is seeking a talented attorney to structure, draft and negotiate commercial agreements with sophisticated customers (Fortune 1000 companies) predominantly in the U.S covering primarily software, cloud, service and other offerings but also including complex vendor transactions. The role will also include government contracting work, e.g., U.S. federal and state contracting, so candidates with experience in both commercial licensing and government contracting are preferred. This position will work with other team members and other departments and executives to develop proposals and processes for executing on strategic commercial objectives. Candidates should have significant licensing and other transactional experience. Candidates with predominantly government contracting experience who are looking to broaden their portfolio to include commercial licensing will also be considered.
J.D. from leading law school
Minimum of 5 years’ experience at a reputable law firm and/or in-house department
Significant experience with transactional work including software licensing
Experience drafting and negotiating moderate to complex commercial contracts
Experience with U.S. federal contracting a plus
Superb organizational and verbal and written communication skills
Ability to manage fast-paced workload in a dynamic environment and simultaneously add value to multiple projects
Excellent internal and external negotiation skills
Proactive, self-starter who shows project ownership and enjoys working across departments
Exceptional attention to detail
Draft, review and negotiate wide range of technology related agreements, including those relating to software licensing, cloud subscriptions, professional services, ASPs, resellers, OEM partners, and other commercial models
Promote, balance and manage company and customer/vendor interests using a high degree of ingenuity to solve complex, contentious issues addressing business risks and compliance matters
Work daily with the sales field and other departments to support transactions and help integrate legal considerations with business and technology activities
Advise on legal issues relating to privacy, e-commerce, security, and IP matters
Assist in developing transaction-support processes and procedures for scaling legal and business processes
Draft policies to establish and enhance regulatory and business standards compliance
Develop and administer programs and policies within the Legal Department
