Corporate Generalist, General Commercial/Contracts, Mergers/Acquisitions
The Senior Counsel, reporting to the Associate General Counsel, will provide legal support to all global business units, focusing on mergers and acquisitions and all aspects of antitrust guidance. Projects will include drafting and negotiating confidentiality agreements, as well as reviewing and negotiating proposals, letters of intent, term sheets and conditions, statements of interest, and definitive agreements with respect to proposed transactions. The Senior Counsel will also support the due diligence process, provide input into decisions of whether to send matters to outside counsel, and assist in the oversight of outside counsel as necessary.
The Senior Counsel’s primary responsibilities include, but are not limited to:
Support M&A and corporate transactions, including acquisitions, mergers, joint ventures, and divestitures.
Provide guidance on deal structure and process, including identifying risks and proposing alternative solutions to mitigate risks involved in potential transactions.
Draft and negotiate transactional documents.
Provide cross-functional support in connection with due diligence process and play a leadership role in synthesizing due diligence reports.
Advise and work with other leaders to provide guidance on compliance with global competition laws.
Support post-closing integration activities, including post-closing checklists and pursuit of indemnity and other rights and obligations.
Providing general legal guidance on other general commercial transactions and matters, as needed.
Strong academic performance and J.D. from an accredited law school in the U.S.
Active member in good standing of a state bar association
Ability to travel
Minimum of five years’ experience in a law firm or other challenging legal environment
Experience working autonomously on mergers and acquisitions ($50M and up)
Deep knowledge and understanding of global antitrust laws and regulations
Functional proficiency in the following areas of law: securities, commercial contracts, real estate, environmental
