Reporting to the Vice President, Assistant General Counsel, FTD is seeking an attorney to assist in providing legal counsel to FTD focusing on complex marketing, advertising and intellectual property issues primarily for FTD's United States consumer facing Internet businesses, including related commercial contracting and litigation management. The successful candidate will have prior experience handling complex commercial contracts, marketing and advertising agreements, intellectual property matters (copyright and trademarks), as well as some litigation management. Candidates with top tier law firm experience will be ideal for this role.
Specific responsibilities of the Corporate Counsel will include:
Reviewing, modifying, and drafting a variety of contracts, licenses and other documents for commercial, marketing and Internet transactions, as well as advertising and promotional materials, including social media.
Providing support on regulatory and compliance issues related to the marketing and advertising of FTD's products and services.
Providing commercial and legal counseling related to the company's operations primarily in the U.S., but with some support of our Canada and the Interflora operations in the U.K., on a day-to-day basis with regard to various legal issues with a focus on marketing, advertising, internet-related agreements and brand issues.
Assisting the Vice President, Assistant General Counsel and the Executive Vice President, General Counsel & Secretary and the senior business leaders of FTD, with contractual matters and other corporate and commercial legal services to ensure the company's business objectives are met.
Assisting on monitoring and enforcing brand protection policies and trademark infringement matters.
Assisting on monitoring and handling copyright matters as they arise.
Collaborating and working as part of a team with business leaders and other partners to provide innovative solutions in a dynamic, fast-paced environment.
Interfacing with the senior leadership team at FTD, as well as other attorneys to address business and legal issues related to complex commercial contracts, marketing, advertising and certain intellectual property matters.
QUALIFICATIONS & SKILLS
The position requires an exceptionally accomplished attorney with a distinguished professional record and a strong business orientation gained in a leadership role. Candidates must be energetic, creative, self-motivated and exhibit a passion for understanding FTD's dynamic business and contributing in a meaningful way to its business strategy and long term strategic goals. In addition to possessing the requisite legal and technical skills, the successful candidate must approach this role from an experienced business perspective and demonstrate a high degree of business savvy and strategic/conceptual thinking capabilities.
Excellent academic credentials which include a J.D. from an accredited law school.
Member in good standing of the bar in the State of Illinois or eligible for limited admission of in- house counsel under Illinois Supreme Court Rule 716.
Four (4) to six (6) years of legal experience with a focus on marketing, advertising, and internet-related/privacy matters.
A background in legal issues involving internet-related companies with a strong brand is a clear advantage.
Complex commercial contract drafting and negotiation experience.
Experience handling a range of agreements, including commercial, Internet, licensing, marketing, advertising and other contracts and transactions.
Experience handling copyright and trademark matters.
Experience handling litigation matters.
A high degree of familiarity with Internet marketing arrangements, including advertising and promotional materials and social media.
The ideal candidate will have sound character, be willing to "roll up his/her sleeves," and have excellent business and legal judgment.
A sense of humor and the ability to contribute to a positive and upbeat work environment.
Top tier law firm and/or in-house experience is preferred.
Outstanding interpersonal skills and the ability to communicate (both orally and in written form) and interact effectively with clients and senior leaders at all levels of the organization; able to identify critical issues requiring action and convey them in a manner that is useful to the client.
Superior intellect, with the ability to think critically and make clear and well-reasoned decisions; ability to see and handle more than the legal issues of a project; strong, pragmatic business acumen with the ability to recognize the broader consequences of legal advice; a strategic and innovative thinker who can bring value to his or her clients and find creative solutions to complex legal problems.
