This Temporary Contractor licensing attorney position (6-18 months) would focus on outbound software licensing agreements, especially in connection with enterprise licensing transactions in the financial services, life sciences, manufacturing, retail, travel and other sectors. This attorney will be a Temporary Contractor working out of our San Jose, New York, or Boston office for a 6-18 month project and will be responsible for a broad range of technology transactions and operational issues, and for counseling business and sales units on a variety of issues.
Negotiating, drafting and closing outbound technology agreements such as Software as a Service/hosting transactions, enterprise software and support agreements, digital marketing, and media agreements, and complex consulting services agreements.
Preparation of standard templates for recurring commercial transactions and to address new business models or legal and business requirements.
Counseling business/sales clients and ensuring best practices in various legal areas such as contract law, privacy, intellectual property protection, and others.
The candidate must possess a J.D. from an accredited law school and be a member in good standing with the CA, NY, or MA bar (depending on location).
Minimum of two years legal experience required.
Must have substantive legal knowledge in the following areas: commercial contracts, licensing, privacy, intellectual property, advertising law, and other software industry issues.
Experience with a top-rated law firm or major high technology company required.
Must be attentive to details, a good communicator, and organized.
Must possess excellent drafting skills.
Must have a positive, problem-solving, business-focused attitude with good judgment prioritizing workload in a fast-paced environment.
Must be a team player but also be a self-starter and work independently. Deal/negotiation experience is essential.
Must be customer-centric and have the ability to lead business negotiations and assist clients in meeting their objectives.
