Upgrade is currently seeking candidates for its General Counsel position. The GC will serve as part of the executive leadership team and will be responsible for managing all legal matters. The legal team currently consists of one Corporate Counsel with consumer lending regulatory experience, who will report to the GC.
Responsibilities: Defining legal strategy and providing legal advice to management; Handling all corporate legal matters in collaboration with the company's legal team and outside counsel; Attracting, developing, and driving performance from legal team; Taking a lead role in negotiating complex financing transactions with institutional platform investors committing to lend $100+m on the platform to consumers; Providing input into product design; Providing guidance on interpretation, and compliance with, consumer lending and securities law and regulations; Setting internal governance policies; Representing the company in conjunction with third parties on all legal matters; Managing the company's use of outside counsel.
At least 12 years of experience including some work in complex financial transactions.
Prior work at a recognized law firm; in-house experience preferred.
Practical experience crafting and negotiating complex financing transactions involving capital markets, loan syndication, whole loan sales, or ABS.
Excellent interpersonal, written, and verbal communication and presentation skills; ability to communicate the company's legal and overall strategy both internally, as well as externally to partners and investors.
Strong, entrepreneurial leader with a desire to execute in a very hands-on manner in the early stages, and the ability to scale with the company.
Must be an active member in good standing of the bar in at least one state.
