Responsible for the day-to-day legal affairs of the Company's employee benefit plans (pension, 401(k), welfare, cafeteria) and advice related thereto. The ideal candidate will have experience reviewing and/or drafting reports to Federal and state agencies, including the IRS, DOL, PBGC and the SEC. Familiarity with HIPAA, ACA, ERISA, and COBRA required. This position will also provide advice on institutional and separately managed ERISA investment accounts, including investment guidelines and restrictions, and handle QPAM documentation and audits.
DUTIES AND RESPONSIBILITIES
Serve as legal counsel and primarily liaison for HR department and administrative committees of 401(k) plan, defined benefit pension plan and omnibus welfare plan for advice regarding all plans and component programs thereunder, including HIPAA compliance and privacy/security manuals.
Provide legal counsel regarding regulatory compliance of employee benefit plans and programs with ERISA, HIPAA, the Affordable Care Act, COBRA and the IRC, as well as DOL, IRS and PBGC rules and regulations related thereto.
Provide legal counsel regarding plan administration, including with respect to eligibility, plan operational issues, subpoenas, plan interpretation, beneficiary entitlements, SPDs, QDRO’s, and audit support.
Responsible for management of all employee benefit plan documentation, including drafting, review and negotiation of benefit plans to ensure regulatory compliance, and amendment of all plan documentation in connection with statutory or regulatory changes.
Coordination and maintenance of all records for 401(k), pension and welfare plan administrative committees, including the drafting of committee agendas, resolutions, materials, minutes, policies and procedures, including maintenance of minute books and files to ensure compliance with record retention and operational requirements.
Drafting, negotiation, review and maintenance of service provider agreements for retirement, health and welfare plans.
Review of Form 11-K, 5500 and any other IRS, DOL or PBGC filings.
Drafting and negotiation of IRS determination letters.
Drafting and/or review of all plan participant correspondence and notifications, including summary plan descriptions and component program documents, summaries of material modifications, summary annual reports, safe harbor/ QDIA notices, and the annual funding notice.
Provide analysis and advice regarding QPAM exemption and audits.
Review investment guidelines and trading restrictions of current and new ERISA client accounts, monitoring of ERISA vs. non-ERISA client accounts, and review of ERISA related representations and warranties in derivative documentation.
Direction of outside counsel for additional support.
A proven background of relevant legal experience exhibiting maturity and independence of judgment in difficult and complex circumstances.
Motivated self-starter who can work independently with initiative in handling diverse situations, sound judgment and discretion.
Highly organized individual with special attention to detail and ability to manage multiple priorities/deadlines, pressure and stress inherent in the practice of law.
Ability to establish effective working relationships throughout operational groups in an environment where coordination and teamwork with legal and business associates is a top priority.
Ability to weigh legal risks within a dynamic business environment and deliver timely, proactive and constructive legal advice that is supportive of business objectives.
Flexibility and a willingness to adapt to fast-paced, changing needs of the organization and business clients.
Ability to proofread and edit documents using standard proofreader's marks.
Proficient in MS Office Suite (Word and Excel).
Regular and reliable attendance.
Excellent analytical, drafting and written/oral communication skills.
Ability to read, analyze and interpret complex documents, regulations and laws and transform into language that is easy for a wider audience to comprehend.
JD. from an accredited U.S. law school with strong academic credentials.
Current member in good standing on at least one state bar.
6-8 years significant, sophisticated employee benefit/ERISA experience, preferably with large national law firm or Fortune 500 in-house department.
Ideal candidate will have extensive knowledge of laws and regulations related to pension and welfare benefit plans, and experience with plan design and plan documents for self-insured plans and day-to-day benefits and pension administration.
Successful completion of fingerprint searches, as required by applicable regulatory authorities, will be required.
Employer will assist with relocation costs.
