Reporting to the Vice President, Associate General Counsel – Life & Retirement, the Senior Counsel will have a thorough understanding of company policies and objectives and under general supervision will manage responsibilities of the Law Division as assigned. His or her work generally involves handling or directing matters of importance and impact on the organization and providing assistance on matters of significance. This position is for an experienced attorney with thorough competence in several legal areas of concentration and broad-based experience, maturity, and sound judgment.
Advise on complex legal matters by utilizing legal expertise and strategic thinking to assess risk and recommend effective and appropriate solutions
Identify and evaluate legal risks by anticipating problems, tracking organizational developments and recommending solutions to proactively mitigate risks and limit company exposure to liability
Assist in drafting life insurance and annuity policy and rider forms, communications, and other documents; including prospectuses and performance fliers
Provide legal counsel on all financial services and life products
Provide legal counsel on death and disability claims
Provide legal counsel on Qualified Domestic Relations Orders
Provide counsel on securities matters and broker-dealer and investment adviser activities
Provide legal counsel and support on Insurance Department Market Conduct Exams; FINRA and SEC exams; and annual internal audits
Provide legal counsel on ERISA retirement plan and privacy matters
Effectively manage resources by anticipating expenditures and accurately forecasting resource needs/costs
Create a positive environment by modeling cultural expectations and guiding leaders to reward performance, accountability, diversity and inclusion, flexibility, continuous improvement, collaboration, and creativity
Advise the Senior Vice President, General Counsel, Corporate Secretary, and Chief Compliance Officer and other members of executive management with respect to the duties and responsibilities outlined above.
Juris Doctor from a law school accredited by the American Bar Association.
Admitted to practice law by a State Bar and be eligible to register as an In-House Counsel in the State of Illinois.
Five (5) years broad-based, relevant legal experience with a mid-size to large law firm, corporation, or regulatory agency.
Meaningful experience relating to insurance and/or financial services companies.
A strong desire to learn and assume ownership of highly complex, sometimes novel, legal issues.
Strong academic credentials, including a law degree from an American Bar Association
Excellent analytical, organizational, detail-oriented, verbal and written communication skills.
Ability to provide top-quality, proactive, accurate and effective legal support in a fast moving environment.
Ability to effectively work with management and other personnel.
In-house legal department experience with a public corporation.
