Compliance, Corporate Governance, General Commercial/Contracts
AAR CORP. is a leading provider of diverse products and services to the worldwide commercial aviation and government/defense industries. We are in search of a general corporate/contracts lawyer, primarily for our aviation services business. A combination of at least five years of law firm and in-house legal experience is required, and experience in the aviation industry or in government contracting is strongly preferred. Occasional domestic and foreign travel is required.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Provide general legal services and advice, as requested, including contract drafting, review and negotiation, as well as day-to-day legal counseling
Draft and negotiate various legal documents in support of complex business contracts and transactions including: parts purchase, sales and consignments; distribution transactions; flight-hour programs; aircraft and engine purchase and sales; aircraft heavy maintenance services
Provide counsel related to legal and business strategy for complex commercial issues
Support corporate compliance program and compliance activities relating to international trade including: anti-corruption, import-export, sanctions and embargoes and anti-boycott
Work with outside counsel, as necessary
Communication: excellent interpersonal and oral and written communication skills; ability to articulate complex legal issues and solutions so others can understand
Creativity: make constructive suggestions and create novel solutions to problems; evaluate various potential solutions to existing problems
Negotiating skills: must have confidence and the ability to be persuasive and assertive
Judgment: exercise strong judgment and decision-making skills
Organization: very detail-oriented and always comes prepared
Initiative: plan work and carry out tasks without detailed instructions, demonstrate independence, undertake additional responsibilities
Teamwork: work well with internal clients and other disciplines within the company (e.g., risk, tax, finance) to get the job done, respond positively to instructions and procedures
Time management: ability to organize and manage multiple priorities and effectively deal with tight deadlines and pressure
Customer-oriented: manage internal client relationships and competing interests within the company
Professionalism: must maintain strict confidentiality and professionalism
EDUCATION AND EXPERIENCE:
J.D. degree and licensed to practice law in Illinois or eligible to submit an application to become licensed in Illinois.
Five years of combined law firm and/or in-house legal experience.
U.S. citizenship is required, as defined by 22 C.F.R. Part 120.14
