BCBST seeks a highly competent lawyer with business acumen and a creative mindset to work closely with the BCBST business team to help achieve the BCBST Enterprise’s goals and strategy. This position is accountable for rendering sound legal advice to the Company as requested, with an emphasis on privacy, security, data, and information. The attorney attends and provides legal advice at various internal and external meetings; and business associate agreements, data use and data sharing agreements, license agreements, and other contracts and legal documents and is proficient on the relationship between intellectual property rights and data privacy and security. The attorney also keeps current knowledge of federal and state laws (including rulemaking and guidance), coordinates with and oversees outside counsel and handles other matters and projects as assigned.
Job Duties & Responsibilities
Ensure compliance with state and federal laws and regulations affecting the Company, with an emphasis on federal and state laws addressing privacy, security, and data and information use and disclosure.
Counsel and advise Company’s business operating units on legal matters affecting their operations.
Provide transactional legal advice and services for the Company’s business operations, including, without limitation, in connection with the use and disclosure of data and information.
Advise data and privacy security teams, other business leaders and fellow lawyers on copyright, trademark and other intellectual property issues associated with business initiatives, including the intellectual property rights affecting data use and disclosure
Assist Associate General Counsel, Deputy General Counsel and General Counsel, as appropriate.
Draft memoranda, negotiate and/or review Company’s agreements, with providers, self-funded and insured group accounts, vendors and other third parties.
Develop and maintain strong, professional business relationships with internal and external clients.
Juris Doctor degree from an accredited law school required
Must be a member of the TN bar, or licensed in another state and eligible and willing to become a member of the TN bar within one (1) year of assuming position.
3 years of experience with a health insurance or managed care organization legal department or equivalent experience in a law firm with emphasis in health care, intellectual property, and/or general corporate matters required.
Minimum 1 year of experience with federal and state laws relating to data privacy and security required.
Minimum 1 year of experience with copyright, trademark, and intellectual property law required preferred
Excellent organizational/technical/research and analytical skills required.
Excellent interpersonal/communication skills, both written and verbal required.
Strong client-service attitude required.
Strong contract drafting and negotiation skills required.
Requires ability to work independently on multiple tasks with critical deadlines.
