Job Purpose: Responsible for advising on corporate governance, entity management, securities compliance and financings.
Primary Duties and Responsibilities
Assist in managing Board and Committee meeting logistics, and facilitating Board communications and documentation
Assist with governance matters, such as drafting resolutions, preparing agendas, updating charters and maintaining corporate records
Responsible for corporate disclosure and compliance with state corporation laws, stock exchange listing standards and SEC reporting and compliance
Provide primary legal support for treasury operations and financing transactions
Manage process pertaining to the annual shareholder meeting. Monitor corporate governance developments and assist the Board in tailoring governance practices to meet the Board’s needs and investor expectations
Serve as the focal point for investor communication and engagement on corporate governance issues
Provide primary legal support on issues involving compensation matters
Assist with entity and subsidiary life cycle management, reorganizations and governance
Effectively manage outside counsel and other service providers
Knowledge and Skills
