Corporate Generalist, General Commercial/Contracts, Multinational Business
The Corporate Counsel will participate, under the direction of the General Counsel and the Associate General Counsel, in a variety of business-related legal projects and matters, such as commercial transaction and business relationship documentation; corporate governance; employment and human resources; tax; real estate; compliance; risk mitigation and management; international transactions; export control and customs; competition; etc. The Corporate Counsel will work closely with other Legal Department members and Company staff and management.
The Corporate Counsel is expected to think and act strategically, innovate, and exercise judgment in a broad variety of matters. The Corporate Counsel will support the legal needs of the Company by participating in or completing some of the following tasks (experience in all areas is not expected or required):
Draft and review various corporate and commercial agreements, including sales and purchase agreements, consulting agreements, distribution agreements, sales representative agreements, non-disclosure agreements, licensing agreements, manufacturing agreements, service agreements, and commission agreements.
Ensure all Company forms and negotiated documents comply with applicable federal, state, and local laws and regulations.
Establish best practices and templates for use in general commercial matters and identify practical business solutions for “closing the deal” and avoiding and/or reducing legal risk.
EMPLOYMENT AND HUMAN RESOURCES (HR)
Assist with providing advice and counsel to management and HR professionals on a broad range of employment issues including recruiting; hiring; employee relations; discipline and terminations; layoffs; internal investigations; leaves of absence; wage and hour compliance; contingent worker issues; separation agreements; benefits issues; workers' compensation; and compliance with applicable state and federal employment laws and regulations.
Identify practical solutions for avoiding and/or reducing legal risk.
Stay abreast of new employment and labor laws and trends, and report on them to Legal Department members, HR and management, as appropriate.
Establish best practices and templates for use in employment related matters.
Support HR in the development and maintenance of affirmative action plans and programs, compensation analyses, and other employment law aspects of federal and state government compliance.
Assist in corporate governance matters, including implementation and oversight of corporate policies for the Company and its subsidiaries.
Work with internal clients, outside tax counsel and economists, and assist in preparing the following:
Advance pricing agreement applications, due diligence, and annual reports;
Annual transfer pricing reports; and
Annual FIN 48 reporting.
Implement and maintain written policies, procedures, and standards of conduct.
Conduct periodic risk assessments and response plans.
Conduct internal monitoring and auditing.
Respond to detected offenses by developing and coordinating corrective action strategies and reporting findings.
RISK MITIGATION AND MANAGEMENT
Assist internal clients with liability insurance coverage, risk prevention services, and claims management.
Draft, review, and negotiate various corporate and commercial agreements.
EXPORT CONTROL AND CUSTOMS
Advise and assist the Company’s Trade Compliance personnel with the implementation of export control policies and procedures, including embargoed and sanctioned countries issues.
Stay abreast of competition and antitrust laws and trends, and report on them to management, as appropriate.
Experience in working on complex business relationships and transactions (from both a customer’s and a supplier’s perspective is a plus), and the ability to manage multiple projects simultaneously under tight deadlines.
Understanding of and experience with an international sales and trading company and/or a Japanese company is a plus.
Exceptional communication skills (written and oral), with the ability to discuss legal subject matter with non-attorneys.
Excellent judgment, organizational skills, strategic thinking, and superior work product with proven attention to detail.
Ability to balance working independently with little supervision and working closely and collaboratively within a small legal team. A practical, pragmatic, team player who recognizes the importance of getting the matter closed and the problem solved.
Ability to interface effectively with all levels of the organization (executive management, HR, business divisions, etc.) and to gain the trust and confidence of others.
Flexibility and willingness to work extended hours when necessary to complete projects in a timely fashion.
Juris Doctor degree from a top accredited law school.
4-8 years relevant experience practicing business and corporate law, in either a law firm or in-house legal department.
SKILLS AND REQUIREMENTS
California Bar membership.
Ability to use Microsoft Office components (Outlook, Word, Excel, PowerPoint) without the need for extensive administrative support.
Legally authorized to work in the US without employer sponsorship.
