Experienced attorney supporting the Commercial HVAC North America (NA) and Europe, Middle East and Africa (EMEA) strategic business unit as well as other Climate Segment matters from time to time. This position will report to the Vice President and General Counsel, Climate Segment (who is also General Counsel of the Commercial HVAC NA and EMEA strategic business unit).
Serve as a legal business partner to business executives responsible for North American territories of the Commercial HVAC NA and EMEA strategic business unit and their teams, including their sales, service and business personnel. The role will advise on day-to-day business matters, including contract drafting and negotiation, disputes and claims and applicable laws, regulations and market trends. The position will work with outside counsel from time to time and seek to continually improving processes and execution.
Advise, negotiate and provide legal support on complex HVAC-related construction projects, including legal, regulatory and contractual risks, agreements and subcontracts, architectural/engineering services and consulting agreements and other construction agreements and matters with building owners, facility managers, general contractors and subcontractors.
Advise, negotiate and provide legal support on complex independent sales representative agreements and matters involving independent sales representatives and on other business agreements, including sourcing and supply agreements and contracts for the sale of equipment, contracting, controls, parts and service and for other general commercial matters.
Advise on and provide legal support to, and work closely with the company litigation team to resolve, disputes, claims and litigation affecting the business.
Provide other general commercial legal support and analysis, including in the areas of quality, marketing and communications.
Qualifications & Key Competencies:
J.D. degree from an accredited US law school
Member in good standing of a State Bar Association
10+ years related legal experience. Large law firm experience required and some in-house experience preferred.
Proven experience in commercial and transactional matters, knowledge of construction law and generally accepted industry practices preferred.
Expert grasp of contracting concepts and superior legal and analytical skills –excellent legal judgment and initiative in selecting the most effective solutions and in creating and implementing standard tools to resolve recurring business and/or commercial issues
Excellent verbal and written communication and negotiation skills
Strong interpersonal skills with the ability to stand firm on issues with business clients when necessary
Ability to quickly understand business objectives of an agreement, identify related issues, and facilitate a risk/benefit analysis
Business-oriented approach to problem-solving, tempered by an appreciation for legal complexity and risk management
Experience in litigation involving commercial agreements is an advantage
Detail-oriented and resourceful with excellent follow-through skills
Ability to work well under pressure and prioritize and manage workload, manage simultaneous tasks and meet deadlines within a changing, fast-paced environment
Ability to work independently
Ability to work well with colleagues and all levels of commercial and business functions at various locations
Flexible and adaptable – unafraid of ambiguity or a challenge
Percent Travel: Approximately 10-25%
