Corporate Generalist, General Commercial/Contracts, Healthcare
Our client, a fast-growing, private-equity owned healthcare services company, is seeking an Associate General Counsel This is a hands-on position supporting revenue-generating activities across all business units, all products and services, and all distribution channels. This attorney will: (i) review, draft and negotiate a wide variety of contracts, in collaboration with the sales force, account managers, and members of the management team, (ii) coordinate with and advise Sales, Finance, Compliance, Operations, Marketing, New Product Development and other functions regarding such contracts and applicable state and federal law, and (iii) help the company achieve its business and strategic objectives, including the launch of new products and services.
Handles the review, drafting and negotiation of multi-million dollar client contracts across all lines of business, including but not limited to master services agreements, statements of work, amendments, and related documentation between the company and pharmaceutical companies and payor/PBMs.
Handles the review, drafting and negotiation of distribution channel contracts and business associate agreements between the company and EMR providers and pharmacy companies.
Participates in the creation of a robust library of form contracts for new product or service offerings and new distribution channels, and coordinates research of relevant legal or compliance issues as necessary; periodically revises and updates existing standard contracts as the business needs change.
Advises and supports the sales force and senior management regarding contract interpretation and legal issues to ensure compliance with the terms of the contracts, as well as applicable state and federal law.
Advises management regarding the legal aspects of new lines of business and new product offerings.
Educates field operations by conducting seminars and training on relevant legal issues including essential contract provisions and healthcare regulatory issues.
Coordinates with all functions during the sales contracting process to provide checks and balances to the Business Development function and ensure that the company will be able to execute and deliver on its contractual commitments.
Education and Experience:
Law degree (J.D.) from a top law school; excellent academic credentials.
Member of the State Bar of New Jersey or willing to obtain a limited license to practice law in New Jersey.
Minimum of 4-7+ years’ legal experience, preferably including a minimum of three years experience at a large well-respected law firm.
Healthcare background is preferred; specifically, familiarity with the Anti-Kickback Statute, OIG, HIPAA, FTC and FDA rules and regulations.
Excellent drafting skills; demonstrated experience with complicated commercial transactions.
Ability to work well with business teams and get along with a wide variety of people; enjoys interfacing with internal and external clients.
Adaptability and ability to work on a wide range of matters that arise on a day-to-day basis.
Excellent communication and inter-personal skills and command of the English language for internal and external communications.
Ability to work independently and collaboratively in a fast-paced environment with rapidly changing deadlines and priorities.
Displays a commitment to ethics and integrity, professionalism and a sense of humor.
