Handles legal, regulatory and corporate compliance matters for the non-utility subsidiaries of South Jersey Industries, Inc., including but not limited to those regulatory and other compliance matters regarding the retail supply of electricity and natural gas, the ownership and operation of renewable and other energy facilities, the wholesale trading of natural gas, trading environmental attributes, and financial derivative transactions, and assists with other various corporate legal matters as needed..
Juris Doctorate and strong academic record from a leading law school
Admitted to the State Bar of at least one of the following: New Jersey, Pennsylvania, or New York
A minimum of 4-8 years of professional legal experience at a major law firm, in government practice and/or in a corporate environment with experience advising clients on regulatory compliance
Experience advising clients in the energy industry highly preferred
Practice before public utility commissions, ISO/RTOs and/or FERC preferred
Business acumen and excellent commercial judgment required
Excellent interpersonal, communication and analytical skills required
Ability and desire to work in a team environment required
Create and update regulatory compliance manuals.
Oversee the administration of relevant compliance software.
Address and resolve administrative and other regulatory matters that arise with state and federal governmental authorities, utilities and ISOs/RTOs.
Monitor changes and additions to regulatory requirements and inform business units of the same.
Prepare and/or oversee required reports and other required filings with state and federal governmental authorities.
Prepare comments and testimony in connection with regulatory and legislative proceedings.
Represent the non-utility businesses in external stakeholder meetings.
Provide legal services to non-utility companies, including, but not limited to:
interpretation, drafting and negotiation of general business contracts relating to the non-utility business.
Support for litigation matters including, but not limited to: interaction with outside counsel, preparing pleadings, attending depositions and trials, conducting investigations, reviewing, evaluating and resolving such litigation while minimizing adverse publicity and monetary exposure, maximizing recovery and preserving or encouraging harmony in ongoing business relationships with third parties.
Assists with internal training on legal issues in the form of written summaries or oral presentations.
Assists in providing legal services in connection with mergers and acquisitions, including due diligence, drafting of definitive documents, organizing closings, and post-closing tasks.
Performs duties inherent in all supervisory, professional and administrative positions. Consistent with all positions in this classification, additional projects, tasks and/or duties beyond what is outlined here may be assigned, as required.
