Responsible for a broad range of corporate commercial legal issues for a public company, including but not limited to: contractual matters (review, drafting, and negotiating), creditor’s rights, regulatory compliance, labor & employment, real estate, corporate finance, litigation, mergers & acquisitions, corporate governance, securities and international law issues. Provides legal guidance to all levels of management globally for publicly-traded U.S. headquartered multi-national company, having offices throughout North America as well as in Europe and Central and South America. The position is based in Greenville, SC.
Job Duties/Essential Functions:
Legal advisor to business units and support functions globally.
Prepares and reviews contracts involving technology distribution, sales, leases, purchases, employment, insurance, etc.
Advise on employment matters, including termination decisions and investigations as required.
Drafting and negotiating legal documents relating to financing transactions, for our in-house credit function.
Researches and analyzes various legal / business issues and formulates a recommendation for business clients.
Prepares and executes legal documents by analyzing, drafting, negotiating, reviewing, and filing these documents.
Coordinates and assists in representation of the organization in legal disputes.
Corporate governance and compliance work related to a publicly-traded company.
Effectively manages outside counsel to achieve business goals while controlling costs.
Significant international legal work will continue to grow with this function.
May review and approve advertising copy and public statements from a legal standpoint.
Other duties as assigned.
Reports to the Deputy General Counsel – U.S.
Interacts with all levels of management
Juris Doctor (J.D.) from an accredited law school
Membership in a US bar, with the ability to obtain a South Carolina license
Demonstrate abilities in the following:
3 to 5 or more years relevant experience
Previous experience with corporations and commercial transactions required
Preference given to candidates with prior in-house counsel experience and international legal experience
Business level proficiency in a relevant foreign language
Significant competency and experience in any of the following: contracts, creditor’s rights, labor & employment
Ability to sit at a computer terminal for long periods of time.
Ability to be physically in attendance at workstation at designated company office location during normal business hours designated for the position.
Ability to travel domestic or internationally up to 15% of the time.
Ability to lift 25 lbs.
