Highfields is seeking a corporate and securities law attorney with 8-12 years of top tier experience to join its legal and compliance team. The ideal candidate will have significant and broad experience in a range of transactional, investment and reorganization matters, a strong interest in investing, and demonstrated ability to work collaboratively in a fast-paced, results-driven environment.
The Deputy Investment & Operations Counsel will work closely with the investment team to help them assess the risks of ongoing or future investments. Given Highfields’ strategy of investing in ‘dislocated’ businesses, the investment team relies on its legal counsel to evaluate the financial impact on a company from the legal activity accompanying each dislocation. Critical requirements for the role include being able to quickly determine the most relevant issues and factors, the ability to articulate a clear and concise recommendation, and the intellectual rigor, flexibility and commitment to evaluate ongoing impacts as market and/or legal conditions change.
The ideal candidate will have a strong commercial sense, a track record for applying sound judgment and discretion, and a clear commitment to delivering what is best for the business. S/he must be willing to roll up sleeves, handle responsibilities both large and small, and be committed to learning and developing as a professional. Highfields expects the new Deputy to quickly gain credibility and trust among the investment, legal and compliance and operations teams. S/he must be a team player with a managed ego and strong analytical and communication skills.
Assist the firm’s investment team in analyzing all legal and regulatory aspects of current and potential investments, including analysis of public filings, corporate governance documents, transaction agreements and other contracts, as well as various types of litigation and regulatory exposures
Form and operate investment entities and maintain a current knowledge of various jurisdictional requirements and corporate law developments
Review and negotiate confidentiality agreements, vendor agreements and other management company contracts
Assist in the drafting and review of fund subscription and offering documents
Work with the firm’s operations and treasury teams in reviewing and negotiating trading agreements
Reports to: Chief Investment & Operations Counsel

Outstanding analytical, research, drafting and communication skills gained at a top tier law firm
Extensive experience drafting, reviewing and negotiating equity and debt offering documents, transaction agreements, public company disclosure documents and corporate governance documents
Strong background in mergers and acquisitions, spinoffs, tender offers, asset sales and other transaction structures
Extensive knowledge of 1933 Act and 1934 Act and related rules and corporate law issues
Experience with transactional tax issues, bankruptcy matters, trading and derivatives documentation, investment fund formation and/or litigation a plus
