The In-House Counsel will be based in LRW’s Century City, CA OR Manhattan, NY office and will advise the Executive Team (CEO, President, CFO and COO) and other internal business clients on a wide range of complex and rapidly developing legal and commercial issues.
Assist in structuring and negotiating strategic transactions, such as mergers and acquisitions & joint ventures; Perform due diligence; Assist with integration of acquired companies
Draft, review and negotiate a high volume of sophisticated domestic and international commercial contracts, including vendor and customer service agreements, joint development agreements and confidentiality agreements
Review and draft employment related agreements and policies and counsel the LRW Talent department on all aspects of labor and employment law
Support key functions within the organization, such as information technology, accounting & finance, facilities/real estate and human resources with strategic legal advice
Develop and implement compliance policies and procedures on a variety of regulatory and business matters
Serve as LRW’s primary resource for legal compliance, ensure that LRW’s products and services comply with applicable laws (including international laws) and industry codes of conduct
Manage various business legal disputes and claims
Assist with internal investigations when needed
Manage outside counsel, particularly with respect to mergers and acquisitions, litigation, trademarks and patents & immigration law/visas
Conduct all duties with high degree of professional ethics and integrity
Education and/or Experience:
JD degree from an accredited law school
Admission to the bar of at least one state, California and/or New York preferred
10+ years of relevant experience (a combination of law-firm and in-house experience is preferred)
International experience preferred
Local candidates (LA or NYC) strongly preferred
Must have legal right to work in the United States
Knowledge, Skills, and Abilities:
Experienced generalist with ability to provide sound legal advice and business judgment concerning legal strategy
Solid exposure to drafting and negotiating commercial contracts
Marketing, Market Research and/or professional services industry preferred
M&A/transactional experience highly preferred
Exceptional communication skills; ability to liaise with all areas of the business at all levels, including senior management
Strong interpersonal skills, sensitivity and understanding of cross-cultural complexities, adept at influencing and achieving collaboration
Self-starter; ready to assume significant responsibility as LRW’s sole in-house counsel
Proven ability to execute assignments with minimal supervision
Flexibility and willingness to work on a wide variety of legal matters
