We are seeking an experienced mergers and acquisitions attorney to join us as a Corporate Counsel in our law department. You should be self-motivated and capable of handling multiple tasks at a time in a rapidly changing environment, with meticulous attention to detail and strong organizational skills. A key component of this job is drafting and reviewing agreements and documents and leading transactions in a number of different industries and subject matters. A key qualification includes the ability to identify and advise senior management on associated legal considerations. You will also be expected to support various corporate level functions at the Company. This position requires you to have strong M&A experience and training from a reputable law firm. This position will be based at the Company’s headquarters in Glendale, California.
Primary Responsibilities: -Provide legal support on selected M&A transactions, strategic alliances and joint ventures, including but not limited to the preparation and/or review of engagement letters, confidentiality agreements, letters of intent, confidential offering memoranda, purchase agreements, partnership agreements, joint venture agreements, and other ancillary deal related agreements. -Conduct and/or preside over due diligence process on transactions. This includes the preparation of memoranda and communicating with other internal departments, functions and in-house and outside counsel. -Keep current on statutes, decisions and regulations that may have an impact on the Company’s M&A efforts, including those related to antitrust and competition, employment, and tax laws. -Provide a broad range of legal support to various corporate functional departments throughout the Company. -Manage and budget outside counsel fees. -Some travel required.
Minimum Requirements: -J.D. degree; member of the California Bar -5-7 years of legal experience with transactional and general corporate experience -Ability to deal effectively with a variety of legal matters at once -Strong verbal and written communication skills -Requires comfort in learning new areas of the law -Energetic and dedicated business oriented approach
Additional Salary Information: eligible for 20% annual bonus plan
