As Counsel, Legal Affairs, your primary responsibilities will be to prepare, review and negotiate a variety of commercial/corporate contracts. In this role, you will be a legal partner to NuVasive’s manufacturing operations team, and you will also serve in a generalist role supporting various legal projects at NuVasive. This position will report to the Vice President, Associate General Counsel, Corporate Affairs.
Review, draft and negotiate a variety of contractual documents in connection with purchases, sales, real estate, and related matters, including management and oversight of outside counsel where appropriate.
Review, draft and negotiate agreements with surgeon consultants and assist with surgeon engagement process.
Assist with contract management, including tracking and managing contract expirations, renewals, non-renewals, extensions and amendments.
Serve as legal partner, and provide legal advice and counsel to manufacturing operations team.
Support other legal projects as needed, including public company reporting and SEC filings, Board and governance matters, M&A transactions and integration activities.
Maintain currency on best practices and legal updates affecting contracting.
Provide practical, creative legal advice in a fast-paced environment.
Perform duties in compliance with applicable FDA and state regulations as well as standards including, but not limited to, ISO 13485.
Nature and Scope:
Applies broad knowledge to act as a key contributor on complex or critical assignments; contributes to the standards around which others will operate.
Determines methods and procedures on new assignments and may coordinate activities of other personnel (Team Lead).
Leads projects of moderate scope (may be cross functional or involve multiple teams); works on complex issues and is guided by expected outcomes; acts as an advisor/coach to mentor other team members.
Develops solutions and execution strategies in complicated or novel situations.
Networks outside of area of expertise; provides advice to ensure understanding of non-technical matters.
Impacts the business by influencing decisions through advice, counsel or facilitating services to others in area of specialization.
JD degree from top-tier law school and membership in at least one state bar in the US.
At least 2 years of experience in a large firm and ideally some in-house experience.
Prior experience and broad exposure to commercial contracts, with specific experience preparing and reviewing strategic supply agreements, manufacturing agreements, and consulting agreements.
Familiarity with M&A and strategic transactions.
Excellent research and communications skills, including exceptional written and oral business communications.
Meticulous attention to detail and process.
Ability to understand and drive a project to successful conclusion
Self-motivated and capable of handling multiple tasks simultaneously in a fast-paced environment.
Ability to work both independently and as part of a highly collaborative and an international team.
Willingness to expand the range of job responsibilities as needed.
