Provide legal advice and counsel to the Bank’s business units in order to support Bank operations and objectives while minimizing legal, regulatory and compliance risk.
Assist the General Counsel on a wide range of legal matters related to Bank operations, including among other things: advances, collateral, investments, membership, contracts, affordable housing program, compliance with regulatory requirements, and general corporate matters
Monitor, interpret and respond to laws, regulations and other government initiatives that may have an impact on the Bank’s business
Draft and review legal documentation of various types, including customer and supplier contracts and bank policies. Represents the Bank in contract and other negotiations, as needed
Conduct legal research and prepare memoranda, correspondence or other materials summarizing and applying research and analysis to Bank issues
Recommend and implement changes to policies, procedures and other processes, as needed, to ensure compliance with applicable laws and regulatory requirements
Provide general legal support and consulting to business clients
Assist in internal training on various regulatory and compliance matters
This position can work from our Des Moines, Iowa office or our Seattle, Washington Office.
Juris doctorate degree from an accredited law school and bar admission in Iowa, Washington or another state (if requirements for limited practice as House Counsel in Iowa or Washington are met)
3-5 years of experience with law firm or corporate law department; focus on financial institutions, regulatory, commercial and corporate law preferred
General knowledge and understanding of banking and financial markets, financial and economic analysis; strong knowledge of UCC and experience with secured lending transactions preferred
Strong analytical and critical-thinking skills; excellent written and verbal communication skills, including the ability to communicate effectively with non-lawyers
Ability to collaborate, build and maintain strong relationships with the business and to external key constituents
Ability to achieve appropriate balance in managing legal and regulatory risks with the evolving business needs of the Bank
Excellent organizational, interpersonal, client relations and team skills, including the ability to build consensus on difficult legal and business issues
Ability to succeed in a collaborative environment, and to shift gears quickly in a fast-paced and demanding environment in response to the changing needs of the business
