Our client is a nationally chartered trust bank (the “Bank”) that is seeking an attorney to join its legal team in Midtown Manhattan, to serve as a VP & Corporate Counsel.

Position Overview:The VP & Corporate Counsel will serve as a lead internal lawyer on client engagements, which involves negotiating and drafting legal agreements, including investment management agreements, engagement letters, fiduciary reports and other client documentation. He/she will analyze transactions for compliance with ERISA and other applicable fiduciary laws. This lawyer will report to the Chief Legal Officer and work closely with another senior lawyer, both based in the NYC office. The position includes supporting business development activities, including reviews of request for proposals, and, over time, visits to prospective clients and professional events, so some travel domestically including the DC and LA offices.
Requirements: A lawyer with at least 5+ years legal experience, either in-house, law firm or a combination of both. Experience with ERISA (Title 1 Fiduciary and prohibited transaction issues) and related litigation. Experience with trust and banking law and other related fiduciary issues strongly preferred. Experience analyzing and negotiating contracts and someone with outstanding communication, interpersonal, organization and project management skills.
