Description The Corporate Counsel is a newly created position and will provide a wide range of legal services and advice to the company. Reporting to the Associate General Counsel, he or she will support a variety of initiatives in the company’s 8-attorney Law Department. Areas of support include company’s litigation matters; acquisitions due diligence and transactional support; drafting and negotiating a wide variety of contracts, including sales and technology contracts; securities law compliance, and other areas as requested. He or she will work closely with company executives, senior management and other employees in a high-energy, dynamic environment.
The Corporate Counsel will initially be a generalist role with a broad scope but will likely specialize in 2-3 areas over time. The successful candidate will have expertise in at least one of the following areas: managing outside counsel and eDiscovery in relation to litigation matters; mergers & acquisitions due diligence and process management; and/or negotiating sale, technology and other contracts.

Representative Tasks: - Supervise and direct outside litigation counsel and internal eDiscovery processes, including litigation strategy and budget management - Counsel business partners in relation to acquisition transactions, including due diligence, document drafting and interpretation, and other activities related to acquisitions - Provide drafting support and legal analysis to contract management and procurement business partners; identify opportunities to improve contract negotiation, management and approval processes; research and advise business on regulatory and other requirements related to contracting - Provide business partners with legal perspective and guidance, as well as risk assessment and mitigation - Apply critical thinking to review complex and non-legal material for legal implications that may pose a risk to the organization. Produce clear and concise written materials appropriate for submission to senior level internal clients - Assist with management of intellectual property portfolio and provide related advice to business clients - Provide legal advice regarding employment matters, including employee benefits, and respond to EEOC and other employment-related claims - Other tasks as directed
Required: - 4 or more years of experience as an attorney - Excellent written and verbal communication and legal writing (including contract drafting) skills - Focused on delivering practical, actionable legal advice in a collaborative manner that is supportive of business values and goals - Ability to handle and prioritize a high and diverse volume of legal matters with or without supervision - Enthusiasm to work collaboratively as a member of a team and independently, as needed - Admitted to Minnesota bar or eligible to be admitted on motion within 6 months - Flexibility in schedule as necessary - Occasional domestic travel may be required, less than 10%
Preferred: - Experience in an AmLaw 250 and/or 2+ years with a sophisticated in-house legal department - Experience with Canadian legal issues related to corporations
