Compliance, General Commercial/Contracts, Multinational Business
Markem-Imaje is looking for a high-performing commercial lawyer who can thrive in a fast-paced and challenging environment to join our business team. You will provide legal support and assistance to Markem-Imaje’s North American operations, with a primary focus on contracts and other commercial matters. As the sole in-house lawyer for Markem-Imaje in North America, you will have a broad range of responsibilities providing transactional support and leading commercial negotiations. You will also advise on other routine risks and legal claims (non-HR). The position will be based in Kennesaw, Georgia (just outside of Atlanta).
Draft contracts and handle other commercial matters, including:
- Preparation and review of contracts for all North American constituents, including customer agreements, supply chain agreements, distributor agreements, NDAs, IP development and licensing agreements, etc.
- Development of negotiation strategies in connection with the foregoing, and serve as lead legal negotiator with commercial counterparties of the business.
Advise on other routine risks and legal claims (non-HR), including with respect to workers’ compensation claim processing and other similar insurance-related processes (and collaborate with risk management department and insurance companies regarding such claims and processes). Review and analyze contingent liabilities for Markem-Imaje’s North American operations and prepare quarterly reports on such liabilities.
Support various departments across Markem-Imaje and provide legal perspective in addressing business issues with legal or regulatory significance (i.e., data protection and data privacy).
Strong academic credentials and active membership in at least one state bar (in good standing), preferably Georgia.
A minimum of 5 years of combined relevant experience in a law firm or in-house legal department, with current experience reviewing, negotiating and drafting commercial contracts. (In-house legal department experience preferred.)
