SUMMARY Reporting to the Vice-President, Associate General Counsel, you will work directly with individual business units and provide capable and efficient legal advice and support for the company. This position requires applied contract experience including extensive experience with various software license agreements, commercial law issues including supplier agreements, marketing contract review of advertising for legal compliance and experience assisting with mergers and acquisitions. As Advance Auto Parts is a distributor of aftermarket automotive parts, a familiarity with automobiles and their parts and repair is a plus.
You’ll need to be able to think on your feet as you’ll have the opportunity to work directly with and advise senior business leaders from every branch of the company regarding contracts and/or commercial matters including: Merchandising, Marketing, Information Technology, E-Commerce, Tax, Finance, Operations, Logistics, Human Resources, Trademarks, Commercial business and Global Sourcing. You will also handle compliance and dispute resolution issues for the company including negotiations and settlements.
Work directly with business clients with limited supervision.
Negotiate, draft and review commercial contracts ranging from domestic vendor-supplier agreements to international purchase and sale arrangements for business clients. Familiarity with UCC.
Negotiate, draft and review agreements including e-commerce and marketing agreements and software, SAAS and hardware agreements.
Some knowledge of and ability to handle questions and issues relating to advertising and privacy law as well as intellectual property issues.
Work closely with senior management to evaluate legal impact of major decisions where applicable law, regulations, or facts may be unclear, controversial, or conflicting in relation to contracts/commercial matters.
Write legal opinions that may require research of statutes, regulations, or court decisions.
Negotiate contract terms with third parties, and create appropriate documentation of transactions.
Conduct legal research as needed to ensure Company meets legal compliance obligations in different jurisdictions.
Oversight/management of outside legal counsel, where needed.
Recognize and report on trends and problem areas; recommend courses of action to promote efficiency and cost-effective remediation/compliance measures.
Develop and conduct training materials/classes on assigned topics.
Four (4) to Eight (8) or more years of relevant commercial contract drafting and negotiating experience.
Excellent attention to detail, organization, and problem solving skills.

Strong written and oral communication skills.
Ability to handle sensitive and confidential information.
Demonstrated ability to multi-task and work in a high volume work environment.

EDUCATION and EXPERIENCE: Juris Doctorate degree (J.D.) from an accredited law school required, and four (4) to eight (8) or more years of relevant experience. Prior in-house counsel experience a plus, but not required.
